F1: In connection with the spin-off (the "Spin-off") of the Issuer by the reporting person ("SITE Centers") pursuant to the terms of a Separation and Distribution Agreement, dated October 1, 2024, by and among SITE Centers, the Issuer, and Curbline Properties LP (the "Agreement"), SITE Centers effected the Distribution (as defined in the Agreement) on October 1, 2024, and caused to be distributed to each holder of record of SITE Centers common shares as of September 23, 2024 by means of a pro-rata dividend of two shares of common stock of the Issuer for every one common share of SITE Centers held of record by such holder as of such record date.
F2: In connection with the Spin-off, on September 30, 2024, the Issuer made a stock dividend to SITE Centers of 104,860,222 additional shares of Issuer common stock.
