COMUNICATO STAMPA ESERCIZIO DEI WARRANT SIT
Padova, 01 luglio 2022 – SIT S.p.A. ("SIT" o la "Società") multinazionale quotata sul mercato Euronext Milan di Borsa Italiana che attraverso le divisioni Heating e Smart Metering crea soluzioni intelligenti per il controllo delle condizioni ambientali e per la misurazione dei consumi, rende noto che ai sensi e per gli effetti di cui all'articolo 3.1 del regolamento dei warrant di SIT (il "Regolamento Warrant"), il Prezzo Medio Mensile (come definito nel Regolamento Warrant) per il mese di giugno 2022 è pari ad Euro 7,5126 (fonte: "Bloomberg").
Pertanto, essendo il Prezzo Medio Mensile di giugno 2022 inferiore al Prezzo Strike pari ad Euro 9,30, ai sensi del Regolamento Warrant non si è verificata la condizione di esercizio ed i warrant non saranno esercitabili.
Si segnala che ai sensi dell'art. 6.1 del Regolamento Warrant, a decorrere dal giorno successivo al Termine di Decadenza (ossia il 20 luglio 2022, termine ultimo di esercizio) i Warrant decadranno da ogni diritto, divenendo privi di validità ad ogni effetto.

PRESS RELEASE EXERCISE OF THE SIT WARRANTS
Padua, July 1st, 2022 – SIT S.p.A. ("SIT", or the "Company") a multinational corporation listed on the Euronext Milan market of the Italian Stock Exchange, which through the Heating and Smart Metering divisions creates smart solutions for the control of environmental conditions and for the measurement of consumption, informs that, pursuant to and for the purposes of article 3.1 of the SIT Warrant Regulation (the "Warrant Regulation"), the Monthly Average Price (as defined in the Warrant Regulation) for the month of June 2022 is equal to EUR 7,5126 (source: "Bloomberg").
Therefore, being the Average Monthly Price for June 2022 below the Strike Price of EUR 9,30, pursuant to the Warrant Regulation, the Warrant's exercise condition has not occurred and consequently the SIT Warrants shall not be exercisable.
Pursuant to art. 6.1 of the Warrant Regulations, starting from the day following the Term of Forfeiture (i.e. 20th of July 2022, the exercise deadline) the Warrants shall forfeit from all rights, becoming invalid for all purposes.
