SinterCast AB (publ) hereby announces an Extraordinary General Meeting (EGM) of the Shareholders, to be held on Friday 10 October 2008. The meeting will begin at 14:00 and will be held at the premises of Remium AB, Kungsgatan 12-14, Stockholm, Sweden. The official Notice for the EGM will be published in the print media, and available on the SinterCast website, on Friday 19 September.
The Board of Directors judge that the recent development of the SinterCast share price does not accurately reflect the current business activities or the near-term market outlook for the Company. The Board of Directors further judge that the Company's liquidity is secure and that the near-term opportunities for new System 2000 installations and increased series production will continue to increase revenues. The EGM is therefore convened to secure shareholder approval for the Company to buy-back SinterCast shares. Approval of the buy-back programme by the EGM will enable the Company to acquire up to ten (10) percent of its 5,552,900 shares between 10 October 2008 and the next Annual General Meeting (AGM), scheduled for 7 May 2009. The buy-back, if approved, will be conducted through daily trading on the OMX Nordic Exchange, according to the rules of the Stockholm Stock Exchange (Stockholmsbörsen), and at the Company's sole discretion.
The EGM will focus on the approval of the share buy-back programme. Although the EGM will include a Question & Answer session, there will not be any formal market update presentation from the Company.
