UPDATE ON PROGRESS IN RESTORATION OF PUBLIC FLOAT

Reference is made to the announcement of Universe Entertainment and Culture Group Company Limited (the “ Company ”) dated 21 November 2018 in relation to, amongst other things, the grant of Waiver (the “ Announcement ”). Unless otherwise defined herein, terms used in this announcement shall have the same meanings as those defined in the Announcement.

As at the date of this announcement, the Company has been informed that the Offeror has entered into a placing agreement with Kingston Securities Limited (the “ Placing Agent ”) on 17 December 2018 for placing of up to 82,000,000 Shares held by the Offeror on a best effort basis to independent placees (the “ Placing ”). As informed by the Offeror, the period of the Placing shall commence on 17 December 2018 and ending on 15 January 2019 (both dates inclusive).

Subject to completion of the Placing, the public float of the Company will be restored. Further announcement(s) will be made by the Company regarding the restoration of public float as and when appropriate pursuant to the Listing Rules.
