PROFIT WARNING

This announcement is made by Universe International Holdings Limited (the “ Company ” and together with its subsidiaries, the “ Group ”) pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the provision under Part XIVA of the Securities and Futures Ordinance (Chapter 571, Laws of Hong Kong).

The board of directors of the Company (the “ Board ”) wishes to inform the shareholders of the Company and potential investors that the Group is preparing its interim results for the six months period ended 31 December 2015. Based on the information currently available, the net loss of the Group for the six months period ended 31 December 2015 (the “ Period ”) is expected to significantly increase as compared to the net loss of the Group for the corresponding six months period ended 31 December 2014, which is mainly due to the significantly increase of the fair value loss arising from the investment securities from approximately HK$19.0 million during the six months period ended 31 December 2014 to approximately HK$133.0 million during the Period.

As the Company is still in the process of finalising the interim results for the six months ended 31 December 2015, the information contained in this announcement is based only on the preliminary assessment by the management according to the information currently available to it and is not based on any figures or information that has been audited or reviewed by the auditors and the audit committee of the Company. The interim results announcement of the Group for the six months ended 31 December 2015 is expected to be released in late February 2016.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the shares of the Company.
