VOLUNTARY ANNOUNCEMENT – FURTHER EXTENSION OF LONG STOP DATE TO PROPOSED COOPERATION WITH GUIZHOU COLORFUL

This is a voluntary announcement made by Universe International Holdings Limited (“ Company ”, together with its subsidiaries, the “ Group ”).

Reference is made to the announcements issued by the Company dated 30 October 2013 (“ First Announcement ”), 30 June 2014 (“ Second Announcement ”) and 31 December 2014 (“ Third Announcement ”) regarding the Cooperation Framework Agreement entered into between Universe Culture (which was renamed as Fragrant River Culture Investment Limited), a wholly-owned subsidiary of the Company and Guizhou Colorful in relation to the proposed cooperation in the Colorful Guizhou Town Project. Unless otherwise stated, capitalised terms used herein shall have the same meanings as defined in the First Announcement.

As disclosed in the First Announcement, if the parties to the Cooperation Framework Agreement have not entered into a formal agreement regarding the proposed cooperation between the parties by 30 June 2014 (“ Long Stop Date ”), the Cooperation Framework Agreement shall lapse.

As disclosed in the Second Announcement and the Third Announcement respectively, Universe Culture and Guizhou Colorful entered into two separate extension letters to extend the Long Stop Date to 30 June 2015 (or such later date as agreed by both parties).

Given that additional time is required for the parties to go through the administration process and obtain the approval from the relevant government authorities in the PRC regarding the Colorful Guizhou Town Project, Universe Culture and Guizhou Colorful have entered into a third extension letter on 30 June 2015, pursuant to which the parties have mutually agreed to further extend the Long Stop Date to 31 December 2015 (or such later date as agreed by both parties).

Save for the further extension of the Long Stop Date as disclosed above, all other terms and conditions of the Cooperation Framework Agreement remain unchanged and shall continue in full force and effect.
