ANNOUNCEMENT

This announcement is made pursuant to Rule $13.51B(2)$ and $13.51(2)(m)(ii)$ of the Listing Rules.

On 25 June 2009, Ms. Chiu, an executive director of the Company, was prosecuted and fined for the late filing of disclosures of her interests in Tianjin Tianlian, in contravention of Part XV of the SFO.

Ms. Chiu has confirmed to the Board that the Late Filing was inadvertent and administrative in nature.

This announcement is made pursuant to Rule $13.51B(2)$ and $13.51(2)(m)(ii)$ of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").

Between 9 July 2007 and 9 November 2007, Ms. Chiu Suet Ying ("Ms. Chiu"), an executive director of Universe International Holdings Limited (the "Company"), acquired and disposed of an interest in shares in Tianjin Tianlian Public Utilities Company Limited ("Tianjin Tianlian"), which is a publicly listed company in Hong Kong and independent of the Company and its connected person (within the meaning of the Listing Rules).

Under Part XV of the Securities and Futures Ordinance (the "SFO"), Ms. Chiu was required to disclose her interest in those shares within three business days of such interests being acquired and disposed of. However, Ms. Chiu filed the requisite disclosures late, on 4 March 2009 (the "Late Filing"). On 25 June 2009, Ms. Chiu was prosecuted and fined a total amount of HK\$12,000 and ordered to pay investigation costs of HK\$7,170 to the Securities & Futures Commission by the Eastern Magistrates' Courts in respect of six separate summonses for the Late Filing.

Ms. Chiu has confirmed to the board of directors of the Company (the "Board") that the Late Filing was inadvertent and administrative in nature.
