SHARES DEALING BY A SUBSTANTIAL SHAREHOLDER

This announcement is made pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

On 7 December 2020, SinoMab BioScience Limited (中國抗體製藥有限公司) (the “ Company ”) was informed by Forbest Capital Investment Group Limited (“ Forbest Capital ”), a substantial shareholder of the Company, that Forbest Capital has entered into an agreement to dispose of a total of 89,802,105 shares of the Company (the “ Share(s) ”), representing approximately 8.92% of issued share capital of the Company, to an independent third party, Ms. XU Sijia (許斯佳) at a price of HK$3.01 per Share for a total consideration of approximately HK$270,304,336 (the “ Transaction ”). The consideration per Share was based on the average closing price in the 5 trading days immediately prior to the Transaction. Upon the completion of the Transaction, Forbest Capital is interested in 61,500,740 Shares, representing approximately 6.11% equity interests in the Company and has ceased to be a substantial shareholder of the Company (as defined under the Listing Rules) and Ms. XU Sijia (許斯佳) is interested in 89,802,105 Shares, representing approximately 8.92% equity interests in the Company.
