中材节能股份有限公司 独立董事对公司第二届董事会第二十三次会议审议事 项的独立意见

中材节能股份有限公司（以下简称“公司”）第二届董事会第二 十三次会议于2017 年8 月25 日召开。根据相关法律、法规和规范性 文件以及《公司章程》等有关规定，作为公司的独立董事，我们对公 司第二届董事会第二十三次会议提交的《关于会计政策及相关会计科 目核算变更调整的议案》进行了认真审议，并发表独立意见如下：

我们认为，公司依照财政部颁布的《企业会计准则第16 号—— 政府补助》（财会[2017]15 号）的相关规定，结合公司的实际情况， 对2017 年1 月1 日存在的政府补助及2017 年1 月1 日至新修订的准 则施行日之间新增的政府补助所计入的会计科目进行变更及调整，即 在利润表中的“营业利润”项目之上单独列报“其他收益”项目，同 时将与公司日常经营活动相关的政府补助由之前的计入营业外收入 科目变更为计入其他收益科目。本次会计政策变更对公司财务状况、 经营成果及现金流量无重大影响。上述会计处理方法符合企业会计准 则及相关解释规定，能够更加客观、公允的反应公司的财务状况，符 合公司及所有股东的利益。公司董事会审议本次会计政策变更的程序 符合有关法律、法规的规定。同意公司本次会计政策变更。本次会计 政策变更自2017 年6 月12 日起执行。
