CLARIFICATION ANNOUNCEMENT ON

PROPOSED CAPITAL REORGANIZATION

Reference is made to the announcement dated 29 November 2024 (the "Announcement") of Simplicity Holding Limited (the "Company") relating to the Capital Reorganization. Unless otherwise stated, capitalised terms herein shall bear the meanings as defined in the Announcement.

The Board would like to clarify that, on page 5 of the Announcement in the second paragraph, due to inadvertent clerical mistake, the sentence "Based on the closing price of HK$0.021 per Existing Share (equivalent to HK$0.21 Consolidated Share)..." was incorrectly stated, which should have been stated as "Based on the closing price of HK$0.021 per Existing Share (equivalent to HK$0.42 per Consolidated Share)...".
