DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement (the “ Announcement ”) of Simplicity Holding Limited dated 18 April 2019 in relation to the JV Agreement. Capitalised terms used herein shall have the same meanings as those defined in the Announcement unless the context requires otherwise.

Pursuant to Rule 19.41(a) of the GEM Listing Rules and as disclosed in the Announcement, the circular (the “ Circular ”) containing, among other matters, further details of the JV Agreement and the transactions contemplated thereunder and other information in accordance with the GEM Listing Rules will be despatched to the Shareholders on or before 15 May 2019.

As additional time is required to finalise certain information to be included in the Circular, in particular, disclosure in the section headed “Letter from the Board”, the Company has applied to the Stock Exchange for, and the Stock Exchange has granted, a waiver from strict compliance with the requirements of Rule 19.41(a) of the GEM Listing Rules on the basis that the Company will despatch the Circular on or before 31 May 2019. The Stock Exchange may withdraw or change such waiver if the Company’s situation changes.

As at the date of this announcement, the executive Directors of the Company are Ms. Wong Suet Hing (Chairman), Ms. Wong Sau Ting Peony (Chief Executive Officer), Mr. Wong Muk Fai Woody, Mr. Ma Sui Hong and Mr. Wong Chi Chiu Henry; and the independent non-executive Directors of the Company are Ms. Ng Yau Kuen Carmen, Mrs. Cheung Lau Lai Yin Becky and Mr. Yu Ronald Patrick Lup Man.
