EXTENSION OF COMPLETION OF DISPOSAL OF SUBSIDIARY

Reference is made to the announcements of Simplicity Holding Limited (the “ Company ”) published on 11 December 2020 and 16 December 2020 (the “ Announcements ”) regarding the discloseable transaction of disposal of subsidiary. Unless otherwise defined, capitalized terms used in this announcement shall have the same meanings as those defined in the Announcements.

Pursuant to the Provisional Agreement for Sale and Purchase, Completion shall take place on or before 11 June 2021 (“ the Completion Date ”).

As additional time is required for Completion, the Vendor and the Purchaser agreed in writing to extend the Completion Date to 30 June 2021 (or such other date as the Vendor and the Purchaser may agree).

The Company will publish further announcement(s) where necessary to keep the shareholders and investors of the Company informed.
