CHANGE OF AUDITOR

This announcement is made by Simplicity Holding Limited (the “ Company ”) pursuant to Rule 17.50(4) of the Rules (the “ GEM Listing Rules ”) Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited.

The board (the “ Board ”) of directors (the “ Directors ”) of the Company announces that BDO Limited (“ BDO ”) has resigned as the auditor of the Company with effect from 31 March 2021 as the Company and BDO could not reach an agreement on the audit fee for the financial year ended 31 March 2021.

BDO has confirmed in its resignation letter that, from BDO perspective, there are no matters that need to be brought to the attention of holders of securities or creditors of the Company. The Board has also confirmed that there are no other matters in respect of the change of auditor of the Company which need to be brought to the attention of the shareholders of the Company.

The Board also announces that with the recommendation from the audit committee of the Company, Elite Partners CPA Limited (“ Elite Partners ”) has been appointed as the auditor of the Company with effect from 31 March 2021 to fill the casual vacancy arising therefrom and will hold office until the conclusion of the forthcoming annual general meeting of the Company.
