Sub: Confirmation pertaining to non-applicability of SEBI circular dated 26[th] November, 2018 pertaining to fund raising by issuance of Debt Securities by Large Entities

With reference SEBI Circular No. SEBI/HO/DDHS/CIR/P/2018/144 dated 26[th] November 2018 and subsequent Circular issued by the Stock Exchanges on the captioned subject, we hereby confirm that Simplex Realty Limited (the Company) is not a “Large Corporate” as per the applicability criteria mentioned in clause 2.2 of the aforesaid circular.

In view of the above, the Company shall not require to make disclosures to BSE Limited in terms of clauses 4.1, 4.2, 4.3, and 4.4 of the aforesaid circular.
