Sub: Disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”).
Dear Sir/ Madam,
We wish to inform that the Company has entered into Shareholders Agreement (SHA) on 25[th] July,2025, with Modern India Limited and Simplex Modern Homes Private Limited for the purpose of disinvesting/ sale of Equity Shares and proposed subscription/investment/acquisition of Preference Shares of Simplex Modern Homes Private Limited.
Pursuant to this transaction, Simplex Modern Homes Private Limited, will cease to be a wholly owned subsidiary and will be the subsidiary of Simplex Realty Limited (the Company).
The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 09, 2015 and Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated July 13, 2023 are given in “ Annexure A” attached herewith.
