Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (SEBI Listing Regulations) we are pleased to inform you that the Board of Directors of the Company at its meeting held on today i.e. 5[th] April, 2024, inter-alia , considered and approved the following:

Appointment of Company Secretary

We wish to inform you that based on the recommendations of the Nomination and Remuneration Committee, the Board of Directors has approved the appointment of Mrs. Ipshita Rohit Dube (ACS 45599) as Company Secretary and Compliance Officer and designated as Key Managerial Personnel of the Company with effect from 5[th] April, 2024.

The details as required under the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9[th] September, 2015 are enclosed as Annexure -A .

Further, we wish to inform that Mrs. Ipshita Rohit Dube, Company Secretary and Compliance Officer of the Company is also authorized by the Board for the purpose of determining materiality of an event or information and making disclosures to Stock Exchange and her contact details are given in Annexure- B .

Approval of Postal Ballot Notice

We wish to inform you that the Company proposes to conduct Postal Ballot through remote e-Voting for regularization of Navratan Damani (DIN: 00057401) who has appointed as an Additional Director (NonExecutive and Non-Independent) of the Company with effect from 1[st] April, 2024. The necessary details of the Postal Ballot and e-Voting will be disclosed separately.

Appointment of Scrutinizer

In continuance to the above point related to Postal Ballot Notice, we wish to also inform you that the Board of Directors have appointed Mr. Binit Thakur (Membership No. FCS 10859 and CP No. 21698), Practicing Company Secretary, as scrutinizer to scrutinize the Postal Ballot’s Remote e-Voting process in a fair and transparent manner.

The Board meeting commenced at 12.10 p.m. and concluded at 12:40 p.m.
