Please be informed that the aforesaid Issue of the Equity Shares on Preferential Basis were approved by the shareholders of the Company by way of Special Resolution in the ExtraOrdinary General Meeting of the Company held on March 2, 2026 and In-principle approval was granted by BSE Limited vide letter dated March 16, 2026. The application for listing and trading approval of the Stock Exchange for the Equity Shares allotted as above will be made in due course, in compliance with applicable law.

The equity shares so allotted, shall rank pari-passu with the existing equity shares of the Company in all respects. Consequent to the aforesaid allotment, the paid-up share capital of the Company will accordingly increase from ₹7,77,41,430/- (77,74,143 equity shares of ₹10/each) to ₹8,19,41,860/- (81,94,186 equity shares of ₹10/- each).
The equity shares allotted to the aforementioned investors shall be locked in for a period as specified under Chapter V of the SEBI ICDR Regulations, as applicable.
The requisite details as required in terms of SEBI Circular SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated July 13, 2023, are provided as ‘Annexure-A’.
