Sub.: Intimation about appointment of Statutory Auditor
Dear Sirs,
This is to inform you that the Audit Committee and Board of the Company through Circular Resolution, have recommended appointment of M/s. APAS & Co, Chartered Accountants (Firm registration no. 000340C ) as statutory auditors of the Company to hold the office from 29[th] August,2020 until the conclusion of the ensuing 40th Annual General Meeting of the Company and Further period of one year commencing from the conclusion of this 40th Annual General Meeting till the conclusion of 41[st] Annual General Meeting for approvals of shareholders of the Company in ensuring Annual General Meeting of the Company to fill the casual vacancy caused by the resignation of M/s. O P Singhania & Co , Chartered Accountants (ICAI Firm Registration No 002172C). Said appointment is pursuant to applicable provisions of the Companies Act 2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015.
M/s APAS & Co is a Raipur based leading CA firm with over 48 years of history. M/s APAS & Co has been one of Central India’s prominent Chartered accountancy firms providing wide array financial and advisory services to numerous and diverse Clients. It is considered the strength of the Firm in terms of qualified staff and senior partners, experience including industries specific experience, eligibility for being appointed as an Auditor, remuneration proposal, competency to carry out audit and limited review and other relevant aspects.
The Audit Committee, considering the relevant aspects, have recommended appointment of M/s APAS & Co as statutory auditor of the Company and further the Board has approved the said appointment and the same is being recommended to the shareholders of the Company for approval, as per requirement of the applicable provisions of the Companies Act 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 and applicable laws.
