RESULTS OF THE SECOND EXERCISE PERIOD OF THE "SIMONE 2023–2026 WARRANTS" (2 December – 17 December 2025)

Naples, 17 December 2025

SIMONE (SMN:IM), a company operating in the publishing sector and listed on Euronext Growth Milan, announces that the Second Exercise Period of the "Simone 2023–2026 Warrants", ISIN code ITOO05573172 (the "Warrants"), covering the period from 2 to 17 December 2025 (inclusive), has ended.

Warrant holders were entitled to subscribe for the Underlying Shares at a ratio of 1 (one) Underlying Share for every 4 (four) Warrants held, at a price per Underlying Share of Euro 2.42 (the "Second Exercise Period Price").

During this period, no Warrants were exercised; therefore, as of today, a total of 1,575,000 Warrants remain outstanding.

Warrant holders who did not request the subscription of shares during the Second Exercise Period will be entitled to exercise the Warrants in the subsequent exercise periods, as provided for under the Warrant Regulations.
