Simfabric S.A. — Share Issue/Capital Change 2022

Management Board of SimFabric S.A. with its registered office in Warsaw(_quot;Company_quot;, _quot;Issuer_quot;) informs that on November 25, 2022 it adopted aresolution on increasing the share capital of the Company within thelimits of the authorized capital through the issue of ordinary bearerseries C shares in a private subscription with the deprivation ofexisting shareholders pre-emptive right in its entirety and on amendingthe Company's Articles of Association (hereinafter referred to as the_quot;Resolution_quot;).

On the basis of the Resolution, the share capital of the Company will beincreased by the amount not higher than PLN 300,000.00, ie from PLN625,000.00 to the amount not higher than PLN 925,000.00. The Company'sshare capital will be increased by issuing no more than 3,000,000 seriesC ordinary bearer shares with a nominal value of PLN 0.10 each.

The issue price of series C shares was set at PLN 6.50 (say: six zlotysand fifty groszy) per share.
