Appendix 4D and Half Yearly Financial Report

Sydney, 27 August 2021: Smart energy Software-as-a-Service (SaaS) company Simble Solutions Limited (ASX:SIS) (‘Simble’ or ‘the Company’) releases its Appendix 4D – Half Yearly Financial Report and commentary for the period ended 30 June 2021.

Highlights:

• Total revenues for the period were $690,529;

• Simble currently has contracted and recurring annual net revenues of approximately $1m, comprising:

• $0.65m in Energy SaaS and;

• $0.35m in Productivity.

• A research and development tax concession claim for the year ended 31 December 2020 is in the process of being prepared for the Company’s UK entity. The Company has recorded a conservative estimate of the amount to be claimed of GBP£100k (A$181k);

• Simble has maintained a low level of recurring operating expenditure over an extended period of time such that operating expenses have been limited to approximately $150k per month during 2021;

• Simble is well capitalised to pursue growth activities in Australia and the UK after successfully completing an oversubscribed $1.63 million Placement to professional and sophisticated investors which was corner-stoned by Strategic Investor, L39 Capital. Directors of Simble subscribed for $0.075 million in the Placement, subject to the receipt of shareholder approval;

• Simble’s balance sheet was further strengthened after securing an agreement to convert $1.18 million of convertible note debt to equity. The conversion of notes resulted in Simble’s largest customer, UCR Consultants, becoming a substantial shareholder and further aligning the Groups. Outstanding notes of $62k remain which will be repaid prior to December 2021;

• To reward shareholders and facilitate future growth, the Company launched a Bonus Options Issue on a one (1) for ten (10) basis. The options will be listed with an exercise price of $0.04 and will expire 3 years from the issue date.

Simble CEO Ronen Ghosh commented on the Financial Report:

“The half year to 30 June 2021 financial results continue to demonstrate the good progress that the Company is making towards achievement of its objectives.

We are focused on realising the potential of the energy division by increasing SaaS revenue, and we are seeing this through the growth in Annualised Recurring Revenue (ARR) from the CarbonView and SimbleSense software platforms.

We expect to see continued ARR growth, despite suffering the impact of some one-off timing issues in the previous corresponding period that led to a year-on-year revenue decline in the financial report.

The balance sheet of the Group continues to strengthen and has been significantly bolstered by the completion of an oversubscribed placement in August. The balance sheet will be further improved by the receipt of the Group’s research and development tax claim which we expect will be recognised in the second half of the year, which is later than in 2020.

Our key priorities are generating ARR growth and achieving consistently positive cash flows through growing our partner and customer base for our world-class software products. I look forward to keeping shareholders informed of our progress.”
