• Placement raises $0.298m

Sydney, 7 November 2024: Sustainability Solutions Company Simble Solutions Limited (ASX:SIS) (‘Simble’ or ‘the Company’) is pleased to announce it has received a firm commitment to raise $298,367 in an equity capital placement to a professional and sophisticated investor.

Key Terms of the Placement

• Placement price of $0.0036 per share, representing a 10% discount to Simble’s closing price of $0.004 on 6 November 2024, and a 6% premium to the 15 day VWAP.

• Equity issue of 82,879,584 fully paid ordinary shares under the Company’s ASX Listing Rule 7.1 capacity plus 55,253,056 Options exercisable at a price that is the greater of $0.0036 or a 15% discount to the 15 day VWAP immediately prior to exercise and expiring 9 months from the date of issue.

• The issuance of the Options is subject to the Company receiving the approval of its shareholders at an Extraordinary General Meeting on a date to be determined.

• The placement shares will rank pari-passu with the existing fully paid ordinary shares of the Company.

The funding generated by the placement enables Simble will be utilized for working capital purposes.
