Placement Options
18 October 2021
Smart energy Software-as-a-Service (SaaS) company Simble Solutions Limited (ASX:SIS) (‘Simble’ or ‘the Company’) announced the completion of a Placement for $1.63m to professional and sophisticated investors led by Fresh Equities and cornerstoned by Strategic Investor, L39 Capital on 28 July 2021.
The terms of the placement included the issuance of an Option for every 2 Fully Paid Ordinary Shares issued and noted that the Company intended to list the options.
As the total number of participants in the Placement were below 50 as required by Condition 6 of ASX Listing Rule 2.5, the Company has been unable to list the options, with unlisted options being issued to each of the participants in the Placement in accordance with the approval of shareholders at the Extraordinary General Meeting held on 30 September 2021.
For clarity, the Bonus Issue of Options that were issued pursant to the Prospectus issued on 28 July 2021 and were listed on ASX on 10 August 2021 (ASX:SISO) are not affected by this announcement.
