ANNOUNCEMENT PURSUANT TO RULE 13.10 OF THE LISTING RULES AND RESUMPTION OF TRADING
This announcement is made by SIM Technology Group Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) at the request of The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”) pursuant to Rule 13.10 of the Rules Governing the Listing of Securities on the Stock Exchange (the “ Listing Rules ”).
The board of directors (the “ Board ”) of the Company has noted the increase in the price and trading volume of the shares of the Company (“ Shares ”) today and wishes to state that the Board is not aware of any reasons for such increase.
The Board also confirms that there are no negotiations or agreements relating to intended acquisitions or realizations which are discloseable under Rule 13.23 of the Listing Rules, neither is the Board aware of any matter discloseable under the general obligation imposed by Rule 13.09 of the Listing Rules, which is or may be of a price-sensitive nature.
The Board has noted a press article (the “ Article ”) which appeared in Sing Pao today in relation to the Company and wishes to clarify that:

the two mobile phone manufacturers mentioned in the Article are not existing customers of the Group and the Group is not in a position to comment on the information relating to those mobile phone manufacturers;

the major causes for the decrease in revenue and the losses for the six months ended 30 June 2011 were, as stated in the Company’s profit warning announcement dated 17 June 2011 and the unaudited results announcement dated 19 August 2011, were significant reduction in demand in the open market and the push out of TD-SCDMA handset tender and not as that stated in the Article;

the management did not make any statement to the press about any profit that the Group may record for the second half or the fourth quarter of the financial year ending 31 December 2011;

the cash of the Group (not subject to any pledge) as at 30 June 2011 amounted to approximately HK$544 million (not HK$508 million as stated in the Article) and the cash per Share (on the basis of approximately 1,704.8 million Shares in issue as at 31 October 2011) was approximately HK$0.32 (not HK$0.30 as stated in the Article);
The management of the Group does not comment on the fluctuation in and expected trading prices of the Shares as commented in the Article.
Shareholders of the Company and the investing public are advised to exercise caution when dealing in the securities of the Company.
RESUMPTION OF TRADING
At the request of the Company, trading in the Shares on the Stock Exchange was suspended with effect from 1:30 p.m. on 7 November 2011 pending the release of this announcement.
Application has been made by the Company to the Stock Exchange for the resumption of trading in the Shares on the Stock Exchange with effect from 9:00 a.m. on 8 November 2011.
