NOTICE OF ANNUAL GENERAL MEETING OF SHAREHOLDERS

An annual general meeting (the " Meeting ") of the shareholders of Quetzal Copper Corp. (the " Company ") will be held on Wednesday, October 16, 2024 at 10:00 a.m. (Pacific Time) at 1100 – 1111 Melville Street, Vancouver, BC. The purpose of the Meeting is to:

1. set the number of directors;

2. elect the directors of the Company;

3. appoint the auditors of the Company; and

4. confirm and approve the Company’s Stock Option Plan.
