Change of Auditor Notice

Pursuant to National Instrument 51-102, Section 4.11

Golden Tag Resources Ltd. (“Golden Tag”) hereby provides notice pursuant to Section 4.11 of National Instrument 51-102 – Continuous Disclosure Obligations of the Canadian Securities Administrators (“NI 51-102”) as follows:

I. Former auditor

i. On January 12, 2021, MNP SENCRL, srl (“MNP”) resigned as the auditor of Golden Tag at Golden Tag’s request. ii. The Audit Committee of Golden Tag accepted MNP’s resignation as auditor. iii. The auditor’s reports of MNP on the financial statements of Golden Tag for the two years ended December 31, 2019 did not contain any modifications as to departures from generally accepted accounting principles or limitation in the scope of the audit. iv. In connection with the audits for the two years ended December 31, 2019 and through to January 12, 2021, there have been no reportable events, as defined in the NI 51-102.

II. Successor auditor

Golden Tag appointed PricewaterhouseCoopers LLP as its new auditor as of January 12, 2021. The Audit Committee considered and approved the appointment.
