On September 15, 2025, the Company announced its intention to complete debt settlements (the “Debt Settlements”).

On October 1, 2025, the Company completed the debt settlement.

5.1 Full Description of Material Change

September 15, 2025 news release:

The Company announced that, subject to regulatory approval, it intended to complete a Debt Settlement by the issuance of a total of 1,500,000 common shares at a deemed price of $0.0837 per share to settle debts owing pursuant to past services provided to the Company for a total amount of CAD$125,550.00 (USD$90,684.00).

The securities issued in connection with the Debt Settlement will be subject to a statutory hold period of four months and one day following the closing of the Debt Settlement in accordance with applicable securities legislation.

October 1, 2025:

The Company completed the Debt Settlement and issued an aggregate of 1,500,000 Shares of the Company, having a deemed value of $0.0837 per Share pursuant to past services provided to the Company for a total amount of CAD$125,550.00 (USD$90,684.00) (the “Debt Settlement”).

All securities issued are subject to a statutory four month hold period.
