RESIGNATION OF NON-EXECUTIVE DIRECTOR

The Board of Directors (the “Board”) of South China Holdings Limited (the “Company”) announces that Mr. Yuen Kam Tim, Francis (“Mr Yuen”) has tendered his resignation as Non-Executive Director of the Company due to personal reasons with effect from 1 July 2004. The Board would like to take this opportunity to thank Mr. Yuen for his valuable contribution to the Company during his period as director of the Company.

The Board and Mr.Yuen confirm that there is no disagreement with each other and there is no matter relating to the resignation of Mr. Yuen that needs to be brought to the attention of the shareholders of the Company.

As at the date of this announcement, the Board of Directors of the Company comprises (1) Mr. Ng Hung Sang, Robert, Mr. Richard Howard Gorges, Ms. Cheung Choi Ngor, Ms. Ng, Jessica Yuk Mui and Mr. Ng Yuk Fung, Peter as executive directors; (2) Mr. Tan Boon Seng and Mr. Yuen Kam Tim, Francis as non-executive directors; and (3) Mr. David Michael Norman and Mr. David John Blackett as independent non-executive directors.
