CHANGE OF COMPANY SECRETARY

The Board of Directors (the “Board”) of South China Holdings Limited (the “Company”) announces that with effect from 11 October 2004, Mr. Chong Wai Sang (“Mr. Chong”) resigned as the company secretary of the Company and Ms. Cheung Siu Lan (“Ms. Cheung”) was appointed as the company secretary of the Company. Ms. Cheung is a Certified Public Accountant of the Hong Kong Institute of Certified Public Accountants and a Certified Practising Accountant of the Australian Society of Certified Practising Accountants. She is also an associate member of The Hong Kong Institute of Company Secretaries and The Institute of Chartered Secretaries and Administrators.

The Company confirmed that there is no circumstance related to the resignation of Mr. Chong which needs to be brought to the attention of the shareholders of the Company.

The Board takes this opportunity to thank Mr. Chong for his valuable contribution to the Company in the past.
