On August 28, 2010, Sify Technologies Limited (the “Company”) issued a press release announcing that the Company’s Board of Directors has approved the issuance of up to an aggregate of approximately $86 million of Indian equity shares to a group of investors affiliated with the Company’s promoter group, including entities affiliated with Mr. Raju Vegesna, the Company’s Chief Executive Officer and Managing Director and Mr. Ananda Raju Vegesna, Executive Director and brother of Raju Vegesna. The proposed allotment of shares remains subject to the approval of the Company’s shareholders by a special resolution and relevant statutory and regulatory authorities, wherever applicable.
