Infinity Capital Investments S.A. organizes on 11.102023, 12 o'clock, at the address in Craiova, Tufănele street no. 1, Dolj county, dutch-style open competitive bidding for the sale of the 11.42% stake in the share capital, owned by INFINITY CAPITAL INVESTMENTS S.A. at Corealis S.A. Craiova, respectively 655,757 shares at the minimum starting price of 3,606,633.50 lei.

The sale is made for the participation in its entirety, i.e. for all the shares held by INFINITY CAPITAL INVESTMENTS S.A. in the share capital of Corealis S.A., not individually or fractionally.

Romanian or foreign natural and/or legal persons can present themselves at the auction meeting who prove that they meet the requirements set out in the Regulation on the organization and conduct of the auction.

In accordance with Art. 7.4 of the constitutive act of COREALIS S.A., the 5,742,726 shares issued by COREALIS S.A. are divided into two categories:

category I = the shares numbered from 1 to 722,750, among which are the shares held by Infinity Capital Investments S.A., for which the voting right is 1 share -1 vote;

category II = the shares numbered from 722,751 to 5,742,726 inclusive, owned by other shareholders, for which the voting right is limited to 5 shares – 1 vote.

Thus, the ownership of Infinity Capital Investments S.A. of 655,757 shares confer 37.98% of the voting rights that can be exercised during the General Meetings of Shareholders and, respectively, 37.98% of the value of the dividends that could be granted.
