Subscription of Corporate Bonds Issued by PK Development Holding S.A.

Longshield Investment Group SA, through its Asset Management Company, SAI Muntenia Invest SA, informs investors that on August 1, 2025, Longshield Investment Group SA subscribed to a number of 15 million bonds issued by PK Development Holding S.A., a Romanian legal entity, registered under ORC number J2016007023409 and Unique Registration Code 36091565, in its capacity as the Issuer, with the following main characteristics:

The total value of the bond issuance is EUR 100,000,000, intended for private professional investors;
The price (nominal value) of a bond is EUR 1;
The final maturity date of the bonds is a maximum of 36 months from the allocation date, with the bonds to be fully redeemed at final maturity, with the possibility of early redemption under the terms of the offering document;
The bonds are secured, among others, by a first-rank real estate mortgage over the property associated with the "Moldova" Mall in Iași, located at Șoseaua Păcurari 121, Iași County, and other properties (land and adjacent constructions) owned by Ermes Holding S.R.L., headquartered at 201 Barbu Văcărescu Street, 11th floor, office no. 25, Sector 2, Bucharest, registered under Unique Registration Code 17852937 and ORC number J2005013786400.

According to the issuance document, the funds obtained from the bond issuance will be used to finance the activities of the issuer and/or the group of companies to which the issuer belongs.

The bonds issued by PK Development Holding S.A. are not publicly offered, and no request will be made for their admission to trading on a regulated market or other trading venue. Longshield Investment Group SA participated in the subscription as an eligible investor, under the terms of the issuance document.
