Disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Dear Sir / Madam,

With reference to our letters dated 8th December, 2025 and 13th February, 2026, this is to inform you that the Company has today, i.e. 1st June, 2026, completed the sale and transfer of its Low Voltage Motors and Geared Motors business (as more specifically described in our letter of 8th December, 2025) as a going concern on a ‘slump sale’ basis to Innomotics India Private Limited for a cash consideration (enterprise value) of INR 22 billion (Indian Rupees Twenty Two Billion), on a cash free, debt free basis and subject to other adjustments that are mutually agreed between the parties in terms of the slump sale agreement dated 8th December, 2025 entered into inter alia between the Company and Innomotics India Private Limited.

The above disclosure is also available on the website of the Company.

In this connection, the trading window under the Company's Code of Conduct for Prohibition of Insider Trading is closed from 30th May, 2026 to 3rd June, 2026 (both days inclusive).
