四川长江包装控股股份有限公司 2006 年 12 月 12 日和 16 日分别发出了关于召开 2006 年第一次临时股东大会通知及补充通知（详见 2006 年 12 月 12 日、16 日《上海证券报》），现将公司 2006 年第一次临时股东大会网络投票事项更正通知如下：

一、召开会议基本情况

1、本次临时股东会议召开时间

现场会议召开时间不变：2006 年12 月27 日上午9:00 时

网络投票时间：2006 年12 月27 日上午9:30-11:30 时,下午13:00 至15:00 时

2、股权登记日不变，2006 年12 月20 日
3、现场会议召开地点不变，四川省宜宾市马鞍石公司本部第二会议室
4、召集人不变，公司董事会
5、会议方式

本次会议采用现场投票与网络投票相结合的表决方式，流通股股东可通过中国证券登记结算有限责任公司上市公司股东大会网络投票系统（网址http://www.chinaclear.cn）对有关议案进行投票表决，现将网络投票事项通知如下：

（1）本次股东大会网络投票时间为2006 年12 月27 日上

9:30-11:30 时,下午13:00 至15:00 时

（2）未办理过身份验证的股东通过网络投票系统进行网络投票之
前，需至少提前一天办理身份验证，取得网上用户名、密码（电子证书用户还须取得电子证书），具体流程见《投资者身份验证操作流程》（附件1）；
（3）本次股东大会网络投票期间，股东可使用网上用户名、密码
登录系统对有关议案进行投票表决（电子证书用户还须使用电子证书），具体流程见《投资者网络投票操作流程》（附件2）；
（4）有关股东办理身份验证及进行网络投票的详细信息请登录中
国证券登记结算有限责任公司网站查询（网址同上）。
（5）同一表决权只能选择现场、网络或其他表决方式中的一种。
同一表决权出现重复表决的以第一次投票结果为准。
6、会议出席对象
(1)本次临时股东会议的股权登记日为2006 年12 月20 日,在股权登记日登记在册的股东均有权参加本次临时股东会议。因故不能出席现场会议的股东,可书面委托授权代理人出席和参加表决(该代理人可不必是公司股东),或在网络投票时间内参加网络投票。
(2)公司董事、监事和其他高级管理人员。
(3)公司聘请的见证律师、保荐机构人员、新闻媒体及董事会邀
请的其他嘉宾。

1、审议《关于确认公司三年以上依法可不予支付应付款项转入
资本公积的议案》
2、审议《关于解除本公司与原重组方四川泰港签订的《赠与资
产协议》的议案》

3、审议《关于公司符合非公开发行股票条件的议案》
4、审议《关于公司非公开发行股票方案》（下列事项逐项表决）

（1）非公开发行股票对象

（3）非公开发行股票数量

（4）非公开发行股票价格

（5）限售期安排

三、流通股股东具有的权利和主张权利的时间、条件和方式

1、公司股东具有的权利

公司股东依法享有出席临时股东会议的权利,并享有知情权、发言权、质询权和就议案进行表决的权利。本次临时股东会议所审议《关于公司非公开发行股票的方案》所涉事项须经参加表决的股东所持表决权的三分之二以上通过,其中《关于公司非公开发行股票的方案》所涉事项需经参加表决的流通股股东所持表决权的二分之一以上通过。

2、公司股东主张权利的时间、条件和方式

根据相关规定,本次会议采用现场投票与网络投票相结合的表决方式，流通股股东可通过中国证券登记结算有限责任公司上市公司股东大会网络投票系统（网址http://www.chinaclear.cn）对有关议案进行投票表决。

公司股东应充分行使表决权,投票表决时,同一股份只能选择现场投票、网络投票中的一种表决方式,如果重复投票,则按照现场投票、网络投票的优先顺序择其一作为有效表决票进行统计。
(1)如果同一股份通过现场、网络投票重复投票,以现场投票为准。
(2)如果同一股份通过网络投票多次重复投票,以第一次网络投票为准。

敬请各位股东审慎投票,不要重复投票。

3、股东参加投票表决的重要性
(1)有利于股东保护自身利益不受到侵害；
(2)有利于股东充分表达意愿,行使股东权利；

四、临时股东会议现场会议登记事项

1、登记手续
(1)法人股东的法定代表人持持股凭证、营业执照复印件、法定代表人证明书和本人身份证办理登记手续；委托代理人持持股凭证、营业执照复印件、本人身份证和法人代表授权委托书办理登记手续；
(2)自然人股东持本人身份证、证券帐户卡办理登记手续；委托

代理人持本人身份证、加盖印章或亲笔签名的授权委托书、委托人身

份证、委托人证券帐户卡办理登记手续。

异地股东可采用信函或传真的方式登记。

投资者身份验证操作流程

已开账户的投资者办理上市公司股东大会网络投票、证券网络查询等网络服务身份验证业务，遵循“先注册，后激活”的程序，即先通过互联网进行网上自注册，再到注册时选定的身份验证机构现场一次性办理身份验证手续，激活网上用户名，选择使用电子证书的投资者同时在身份验证机构领取电子证书。投资者网上用户名一旦激活，即刻生效，并可长期使用，投资者需牢记网上用户名、密码，选择使用电子证书的投资者还需妥善保管电子证书。

已开账户的投资者身份验证操作流程如下：

（一）网上自注册

投资者网上注册开始登录中国结算网站http://www.chinaclear.cn （注1）阅读《网上注册须知》

签署《中国证券登记结算有限责任公司网络服务协议》

输入用户注册信息，选择是否使用电子证书（注2）确认用户信息

选定身份验证机构（注3）

记录注册成功后的网上用户名和密码（注4）

网上注册结束

注1：通过互联网登录中国结算网站后，点击页面左侧‘投资者

服务’项下‘投资者注册’。

注2：在用户注册页面输入以下信息：
（1）投资者有效身份证件号码；
（2）A 股、B 股、基金等账户号码；
（3）投资者姓名/全称；
（4）网上用户名；
（5）密码；
（6）选择是否使用电子证书；
（7）其他资料信息。

注3：根据系统提示，投资者在系统列出的身份验证机构备选名录中选择一个身份验证机构（例如证券公司营业部）办理身份验证手续。

注4：注册成功后，提示页面列出了后续操作需要的各项材料。投资者须牢记网上用户名及密码。网上用户名需提交给身份验证机构以办理身份验证手续，身份验证完成后，网上用户名可与密码配合使用，登录网络服务系统。
