NOTICE is hereby given that, the 86^th Annual General Meeting (AGM) of Shri Dinesh Mills Limited ("the Company') will be held through Video Conferencing ("VC") or Other Audio Visual Means ("OAVM") on Saturday, 28^th August, 2021 at 12.00 noon to transact Ordinary and Special businesses as set out in the Notice of AGM dated 31^st May, 2021 in compliance of the applicable provisions of the Companies Act, 2013 read with SEBI Circulars from time to time. The said Notice along with e-voting communication and Annual Report have been emailed to all the members electronically on 02^nd August, 2021, whose e-mail addresses are registered with the Company / Depository Participant(s). ઓક્ટોબરથી અભ્યાસ પણ શરૂ કરવામાં આવી શકે છે.અહીં નોંધવું ઘટે કે, ધોરણ ૧૨ સાયન્સનું પરિણામ આવ્યા બાદ ડિગ્રી એન્જિનિયરિંગમાં પ્રવેશ પ્રક્રિયાની શરૂઆત ૨૬ જુલાઈથી થઈ ચૂકી છે. વિદ્યાર્થીઓ ફ્લાભની વેબસાઇટ પર જઇને પ્રવેશ માટે રજિસ્ટ્રેશન કરાવી શકશે. ૧૬ ઓગસ્ટ સુધી રજિસ્ટ્રેશન કરીને ઓનલાઇન ફી ભરવાની રહેશે. ત્યારબાદ પ્રક્રિયા આગળ વધશે. કોરોનાને કારણે એડમિશન પ્રક્રિયા મોડા શરૂ થઈ છે. જેથી પ્રક્રિયા લાંબી ચાલશે અને ૩૦ ઓક્ટોબરે પ્રક્રિયા પૂર્ણ થશે.

(પ્રતિનિધિ)અમદાવાદ,તા.૨ રાજ્યની રૂપાણી સરકારના પાંચ વર્ષ પરા થવાની ઉજવણી ૧ થી ૯ ઓગષ્ટ સુધી જનતાલક્ષી વિવિધ કાર્યક્રમોનું આયોજન કરીને સરકાર ઉજવણી કરી રહી છે, તો સામે વિપક્ષ કોંગ્રેસ સમાંતર નવ દિવસ વિરોધી કાર્યક્રમો કરી સરકારનો વિરોધ કરી રહી છે. આજે રૂપાણી સરકારના 'સંવેદના દિવસ' સામે કોંગ્રેસે 'અસંવેદના દિવસ' ઉજવ્યો હતો. ગુજરાત કોંગ્રેસના નેતાઓ દ્વારા ગુજરાતમાં માતમ ભાજપ અડીખમ, દયાહીન ભાજપ સરકાર બરબાદ અનેક પરિવાર જેવા નારાઓ સાથે વિરોધ કરવામાં આવ્યો હતો. ગાંધીનગર સિવિલ હોસ્પિટલના કેમ્પસમાં પ્રદર્શનમાં સામેલ પ્રદેશ પ્રમુખ અમિત ચાવડા સહિતના કાર્યકરોએ બેનરો સાથે સરકાર વિરોધી ઉગ્ર સૂત્રોચ્ચાર કર્યા હતા. જો કે કોંગ્રેસને વિરોધ પ્રદર્શનની મંજૂરી ન હોવાથી અમિત ચાવડા અને હિમાંશુ પટેલ સહિતના આગેવાનોની પોલીસે અટકાયત કરી હતી

પ્રદેશ કોંગ્રેસ પ્રમુખ ચાવડાએ કોરોનાની બીજી લહેર દરમિયાન આરોગ્યની કથળેલી સ્થિતિ મુદ્દે સરકાર પર પ્રહાર કર્યા હતા. ચાવડાએ કહ્યું કે

બેડ, વેન્ટિલેટર, દવા માટે લોકોએ ભટકવું પડ્યું રેમડેસિવિર ઈન્જેક્શનના કાળા બજાર થયા. કોરોનામાં હજારો લોકોના મોત અને સંખ્યાબંધ નિષ્ફળતા છતાં સરકાર શેની ઉજવણી કરે છે તે સમજાતું નથી.દરમિયાન અમદાવાદ સીવીલ હોસ્પીટલ બહાર પણ કોંગ્રેસે સંવેદનહીન સરકારના નામે વિરોધ નોંધાવ્યો હતો. અમદાવાદ શહેર કોંગ્રેસ સમિતિ ના ઇન્ચાર્જ પ્રમુખ ચેતન રાવલે જણાવ્યું કે ગુજરાત સરકાર સંવેદનશીલ સરકારની જગ્યાએ હવે સંવેદનહીન સરકાર બની ગઈ છે. ગુજરાત સરકારી તાઈફા કરવાની જગ્યાએ આરોગ્યમાં વધુ સુલભ વ્યવસ્થાઓ કયા પ્રકારે ઊભી થઈ શકે તે દિશામાં વિચારવું જોઈએ છે. જોકે, હવે ગુજરાતની જનતા સારી રીતે સરકારની ઓળખી ગઈ છે. ગુજરાત સરકાર હોય કે પછી કેન્દ્રની ભારત સરકાર હોય તેઓને માત્ર જૂઠાણા સિવાય અન્ય કોઈ બાબત પચતી નથી આ દેશની પ્રજા પણ હવે ભાજપની

સરકારને જાણી ચકી છે. સૌરાષ્ટના મહાનગર રાજકોટમાં સંવેદના દિવસ તરીકે ઉજવણીની સાથે સાથે મુખ્યપ્રધાન વિજય રૂપાણીનો જન્મદિવસ હોવાથી તેઓ પોતાના ઉજવી રહી છે.

શહેર રાજકોટમાં હતા ત્યારે કોંગ્રેસે સિવિલ હોસ્પિટલ રાજકોટના મુખ્ય અધિકારીની ઓફિસ સામે જ આરોગ્ય સેવા નબળી અને ઢીલી હોવાના આક્ષેપ કરતા નારેબાજી સાથે વિરોધ પ્રદર્શન કર્યું હતું. જેમાં કોંગ્રેસના પૂર્વ પ્રમુખ અર્જુન મોઢવાડિયા પણ જોડાયા હતા. નારેબાજી સાથે ટોળું હોસ્પિટલ સંકલમાં અંદર આવી પહોંચ્યું હતું. સિવિલ પરિસરમાં કાર્યકર્તાઓએ ઑક્સિજનના બાટલા ખભા પર નાંખી સુત્રોચ્ચાર કર્યા હતા.

નેતૃત્વ હેઠળ ચાલતી ભાજપાની સરકારને પાંચ વર્ષ પૂર્ણ થયા તે નિમિત્તે સંવેદનાદિવસ હેઠળ ડભોઇની ઝારોલા વાડી ખાતે ડભોઇ દર્ભાવતિના ધારાસભ્ય શૈલેષભાઈ મહેતાની અધ્યક્ષતામાં 'સેવા સેતુ કાર્યક્રમ' યોજાયો હતો. રૂપાણી સરકારના શુંશાસનકાળમાં થયેલા વ્યાપક વિકાસ

ભાજપના સાંસદનો દારૂબંધી અંગેનો કથિત ઓડિયો વાયરલ થતાં જ ગૃહ રાજ્યમંત્રી એકશનમાં, તાબડતોબ આપ્યા તપાસના આદેશ

(પ્રતિનિધિ)અમદાવાદ,તા.૨ પાટણના ભાજપના સાંસદ ભરતસિંહ ડાભીનો દારબંધી અંગેનો કથિત ઓડિયો વાયરલ થતા જ ગહરાજ્યમંત્રી પ્રદિપસિંહ જાડેજાએ તપાસના આદેશ આપ્યા છે. મહત્વનં છે કે દારૂબંધી મુદ્દે સાસંદ ભરતસિંહ ડાભીનો ઓડિયો વાયરલ થયો છે જેમાં દારૂબંધીની રજૂઆત કરનારનો સાંસદે ઉધડો લીધો હતો. આ ઘટનાને પગલે ગૃહ રાજ્યમંત્રી પ્રદિપસિંહ જાડેજાએ નોંધ લીધી હતી અને ગુજરાતમાં દારૂ બંધી માટે સરકાર કટિબધ છે તેવું જણાવ્યું હતું. જાડેજાએ દારૂબંદીને લઈ પાટણ પોલીસને કડક સૂચના આપી

હતી તેમજ કડકાઈ અને સખ્તાઇથી સાંસદ સુધી હમો આપે છે. ત્યારે સાંસદ ગુખ્યમંત્રીના જન્મદિને કતલખાના બંધ રાખવા બદલ શહેર અધ્યક્ષએ સંચાલકોનો માન્યો આભાર વડોદરા.તા.૨

વર્ષોથી જૈન સંપ્રદાય અહિંસાનો આગ્રહી રહયો છે. આજ રોજ મુખ્યમંત્રી વિજયભાઈ રૂપાણીનો જન્મદિવસ હોવાથી શહેર અધ્યક્ષ ડો. વિજયભાઈ શાહે કતલખાના સંચાલકોને આજરોજ કતલખાના બંધ રાખવાની અપીલ કરી હતી. જેને સ્વીકારી આજરોજ સંચાલકોએ કતલખાના બંધ રાખ્યા હતા. સંવેદનશીલ મુખ્યમંત્રી સદાય અહિંસાના પૂજારી રહ્યા છે.અહિંસા પરમો ધર્મને ધ્યેયસૂત્ર બનાવી કપરા સમયમાં પણ ગુજરાતની પ્રજાના પડખે ઉભા રહી સેવા કાર્યો કરતા રહ્યા છે.

કાર્યવાહી કરવાની સૂચના આપી હતી. અહીં નોંધવું ઘટે કે, ભાજપના સાંસદ ભરતસિંહ ડાભીનો કથિત ઓડિયો વાયરલ થયો છે વાયરલ થયેલા આ ઓડિયોમાં ભાજપના નેતા આખા ગૃજરાતમાં દારૂ વેંચાત્ હોવાનું રટણ કરી રહ્યા છે. સાંસદ ભરતસિંહ ડાભી દારૂ મુદ્દે મોટો ખુલાસો કરે છે. અને કહે છે કે આખા ગુજરાતમાં દારૂ વેચાય છે. અરજદાર ભરતસિંહને ફોન પર પાટણમાં ખૂબ દારૂ વેચાય છે તેવું કહે છે. ત્યારે અરજદારે સાંસદને ફોન પર રજૂઆત કરતા સાંસદ ભડક્યા અને કહ્યું કે આખા ગુજરાતમાં દારૂ વેચાય છે. ત્યારે અરજદારે કહ્યું કે બૂટલેગર

સામાન્ય રીતે મહાવીર જયંતી નિમિત્તે રાજ્યના કતલખાના બંધ રહેતા હોય છે. પરંતુ ઇતિહાસમાં પહેલીવાર મુખ્યમંત્રીના જન્મદિને કતલખાના સ્વૈચ્છિક બંધ રાખવાની શહેર અધ્યક્ષ ડો. વિજયભાઈ શાહની અપીલ સાચા અર્થમાં ચરિતાર્થ થઈ છે. આજરોજ કતલખાના બંધ રખાવી વડોદરા શહેર સંગઠને લોકપ્રિય મુખ્યમંત્રીને જન્મદિન નિમિત્તે ખુબ ખુબ શુભેચ્છા પાઠવી છે. અહિંસાના આગ્રહી મુખ્યમંત્રીના જન્મદિન નિમિત્તે પોતાની અપીલને માન આપવા બદલ શહેર અધ્યક્ષએ

દરમિયાન કોંગ્રેસ પ્રવક્તા મનિષ દોશીએ દારૂબંધીના કાયદાને લઈ સરકાર પર પ્રહારો કર્યા હતા. ડો.દોશીએ જણાવ્યું હતું કે, રાજ્યમાં દારૂબંધીનો કાયદો માત્ર કાગળ પર છે. રોજ કરોડોની કિંમતનો દારૂ રાજ્યમાં પકડાય છે. ખુદ ભાજપના નેતાઓ જ સરકારને દારૂના વેચાણની ફરિયાદ કરે છે. એક તરફ રાજ્ય સરકાર ઉજવણીઓ કરે છે અને બીજી બાજુ દારૂ બેરોકટોક મળે છે. તેમણે ઉમેર્યું હતું કે, નર્મદા એસપીએ પત્ર લખેલો કે પોલીસ જ દારૂ નાં ખેપિયાઓનું પાયલોટિંગ કરીને મદદ કરે છે જે ગંભીર બાબત છે. ભરૂચના ભાજપના સાસંદે પણ પત્ર લખીને ગુજરાતમાં પણ ખૂણે ખૂણે દારૂ મળે છે તેની ફરિયાદ કરી હતી. તે ઉપરાંત પાટણના ભાજપના સાંસદનો ઓડિયો પણ જણાવે છે કે સમગ્ર ગુજરાતમાં દારૂ બેરોકટોક મળે છે. તેમણે એમ પણ કહ્યું કે, રાજ્ય સરકારે વિધાનસભામા આપેલા

આંકડાઓ મુજબ ૨૦૦ કરોડ નો દારૂ પકડાયો છે.અસામાજિક તત્વોનો ચૂંટણી જીતવા અને સત્તા ટકાવવા ભાજપે દુરુપયોગ કર્યો એટલે અસામાજિક તત્વોને બેરોકટોક દારૂ વેચવાના પરવાના મળ્યાં છે. જો સરકારમાં શરમ બચી હોય તો દારૂબંધીના કાયદાને કડક બનાવે.

વૈભવી ડી. નાણાવટીની ખંડપીઠે કહ્યું હતું કે ૧૭મીથી હાઇકોર્ટની પ્રત્યક્ષ સુનાવણી શરૂ કરવાની વિચારણા ચાલી રહી છે. ઉલ્રેખનીય છે કે કોરોનાની પહેલી લહેરના કારણે માર્ચ-૨૦૨૦થી હાઇકોર્ટમાં પ્રતયક્ષ સુનાવણી બંધ કરાઇ હતી અને તમામ ખંડપીઠો વીડિયો કોન્ફરન્સિંગ દ્વારા કેસોની સુનાવણી કરી રહી છે. લાંબા સમયથી ગુજરાત હાઇકોર્ટમાં પ્રતયક્ષ સુનાવણી બંધ હોવાથી કેટલાક વકીલોએ વારંવાર તેમની કથળતી જતી આર્થિક પરિસિથતિ અંગે કોર્ટમાં રજૂઆત કરી હતી. આ પહેલા ગુજરાત હાઇકોર્ટ એડવોકેટ એસોસિએેશને પણ જુદી જુદી બેઠકો યોજીને આ મુદ્દે ચર્ચા-વિચારણા કરી છે. ચર્ચા-વિચારણા કર્યા બાદ તેમણે ચીફ જસ્ટિસ વિક્રમ નાથને ગુજરાત હાઇકોર્ટમાં પ્રત્યક્ષ સુનાવણી શરૂ

કાર્યક્રમ ધારાસભ્ય શૈલેષભાઈ મહેતાની અધ્યક્ષતામાં યોજાયો હતો જેમાં છેવાડાનો એક પણ સાચો લાભાર્થી સરકારી યોજનાઓના લાભથી વંચિત રહે નહીં તે બાબતને ધ્યાનમાં રાખી સમગ્ર કાર્યક્રમનું આયોજન કરાયું હતુ^{ં '}'સરકાર

આથી સૂચના આપવામાં આવે છે કે શ્રી દિનેશ મિલ્સ લિમિટેડ ('કંપની') ની ૮૬મી વાર્ષિક સામાન્ય સભા (એજીએમ) વિડીયો કોન્ફરન્સીંગ (VC) / અન્ય દ્રશ્ય - શ્રાવ્ય માદયમો (OAVM) દ્વારા શનિવાર, ૨૮ ઓગષ્ટ, ૨૦૨૧ ના બપોરે ૧૨:૦૦ કલાકે, ૩૧ મે, ૨૦૨૧ ના રોજ, કંપની ઘારો, ૨૦૧૩ ની લાગુ પડતી જોગવાઈઓ અને "સેબી "ના વખતો વખતના પરિપત્રોને સાથે વંચાણે લેતાં, એજીએમની નોટિસમાં દર્શાવ્યા મુજબના કામકાજ કરવા મળશે, જે સર્વે સભાસદોને જિમણે કંપની / ડિપોઝીટરી પાર્ટિસિપન્ટને ઈ-મેલ સરનામાં નોંધાવ્યા છે તેમને, ઈલેક્ટ્રોનિકલી રીતે તા. ૦૨ ઓગષ્ટ, ૨૦૨૧ના રોજ મોકલવામાં આવ્યા છે. ઉપરોક્ત નોટિસ તથા વાર્ષિક અહેવાલ કંપનીની વેબસાઇટ www.dineshmills.com અને NSDL ની http://www.evoting.nsdl.com uzuel Guase B.

કંપની ધારો, ૨૦૧૩ ની કલમ ૧૦૮ મુજબ, કંપની (મેનેજમેન્ટ એન્ડ એડમિનિસ્ટ્રેશન) નિયમો, ૨૦૧૪ ના નિયમ ૨૦ અને સેબી (એલ.ઓ.ડી.આર.) રેગ્યુલેશન્સ, ૨૦૧૫ ની નિયમન ૪૪ સાથે વાંચી, કંપની તેના સભાસદોને ઇલેક્ટ્રોનિક માધ્યમથી નેશનલ ડિપોઝીટરી સર્વિસીસ લિમિટેડ (NSDL) દ્વારા ઈ-મતદાન સેવાઓ દ્વારા ૮૬મી એજીએમની સૂચનામાં દર્શાવેલા તમામ ઠરાવો પર મતદાન કરવા માટે રીમોટ ઈ-મતદાન સુવિધા પ્રદાન કરે છે. કટ-ઑફ તારીખના દિવસે જે વ્યક્તિ કંપનીના શેર ધરાવતા હશે તેઓજ, ૮૬મી એજીએમની નોટિસમાં દર્શાવેલા તમામ ઠરાવો પર ઈલેક્ટ્રોનિક રીતે મત આપી શકે છે.

તમામ સભ્યોને જાણ કરવામાં આવે છે કે :

• એજીએમ નોટિસમાં દર્શાવેલા સામાન્ય અને ખાસ ઠરાવોને NSDL દ્વારા પૂરી પાડવામાં આવેલ ઈ-મતદાન સેવા (ઈલેક્ટ્રોનિક માધ્યમો) મારફતે વ્યવહાર કરવામાં આવશે.
• સભાસદોને ૮૬મી એજીએમ માં ઈ-મતદાનની પ્રક્રિયા અને રીત વિશે ૩૧ મે, ૨૦૨૧ ના નોટિસના ભાગ રૂપે નોટ્સનો સંદર્ભ લેવા વિનંતી છે.
• ૮૬મી એજીએમમાં રીમોટ ઈ-મતદાન દ્વારા મતદાનની ચોગ્યતા નક્કી કરવા માટેની કટ-ઑક્ તારીખ ૨૧ ઓગષ્ટ, ૨૦૨૧ છે.
• રીમોટ ઈ-મતદાન, મંગળવાર, ૨૪ ઓગષ્ટ, ૨૦૨૧ (સવારે ૯ :૦૦ વાગ્યાથી) શરૂ થશે અને શુક્રવાર, ૨૭ ઓગષ્ટ, ૨૦૨૧ (સાંજે ૫ :૦૦વાગ્ચે) બંધ થશે. આ સમયગાળા દરમિયાન, સભાસદો ઈ-મતદાન કરી શકે છે. ત્યાર બાદ ઈ-મતદાન મોડચુલ NSDL દ્વારા નિષ્ક્રિય કરવામાં આવશે.
• જેઓ એજીએમ માં ભાગ લઈ રહ્યા હોય અને અગાઉ ઈ-મતદાન કર્યું ન હોય તેવા સભાસદોને ઈ-મતદાનની સુવિદ્યા એજીએમ દરમિયાન પણ આપવામાં આવશે.
• કોઈપણ વ્યક્તિ, જે ૮૬ મી એજીએમની નોટિસ મોકલ્યા બાદ કંપનીના શેર મેળવે છે અને કટ-ઑક તારીખ ૨૧ ઓગષ્ટ, ૨૦૨૧ ના રોજ સભ્ય હશે તેઓ evoting@nsdl.co.in પર વિનંતી મોકલીને લૉગ-ઈન આઈડી અને પાસવર્ડ મેળવી શકે છે. જેઓ ઈ-મતદાન માટે NSDL સાથે પહેલાંથી જ નોંધાયેલ હોય તો મત આપવા માટે હાલના યુઝર આઇડી અને પાસવર્ડનો ઉપચોગ કરી શકે છે.
• સમસ્યાના કિસ્સામાં, સભાસદો NSDL ની FAQs અને evoting@nsdl.co.in અથવા કંપનીના સચિવને sojitra@dineshmills.com પર ઈ-મેઈલ કરી અથવા કંપનીની રજીસ્ટર્ડ ઑફિસ પર સમસ્યા માટે સંપર્ક કરી શકે છે.
• આથી સૂચના આપવામાં આવે છે કે કંપની ઘારો, ૨૦૧૩ ની કલમ ૯૧ તેમજ સેબી (એલ.ઓ.ડી.આર.) રેગ્યુલેશન્સ, ૨૦૧૫ ના નિયમ ૪૨ અનુસાર કંપનીના સભાસદોનું રજીસ્ટર અને શેર ટ્રાન્સફર બુક્સ, શનિવાર, ૭ ઓગષ્ટ, ૨૦૨૧ થી શનિવાર, ૧૪ ઓગષ્ટ, ૨૦૨૧ (બંને દિવસ સહિત), ૮૬ મી એજીએમ માટે બંધ રહેશે.
