Dear Sir/Madam,

This has a reference to our disclosure dated 12[th] November 2024 providing an update about receipt of approval to the Scheme of merger of Monica Trading Private Limited, Shree Renuka Agri Ventures Limited & Shree Renuka Tunaport Private Limited (Transferor Companies”), wholly owned subsidiaries of the Company, with Shree Renuka Sugars Limited (“Transferee Company/the Company”) by Hon'ble National Company Law Tribunal (“NCLT”), Bengaluru Bench.

Further to our aforesaid letter, we wish to further update you that the order of the Hon’ble NCLT approving the scheme of merger has become effective from today i.e. 6[th] December 2024 consequent to the approval given by the Registrar of Companies (ROC) to the Form INC-28 filed by the transferor companies and the transferee Company. As a result of this, the aforesaid Transferor Companies stand amalgamated with the Company with effect from today i.e. 6[th] December 2024.
