NOTICE TO THE MEMBERS
NOTICE is hereby given that the 44[th] Annual General Meeting of the Members of SHREE MANUFACTURING COMPANY LIMITED will be held on Monday, 27[th] day, of September, 2021 at 11.30 AM at Suite# 712, Prasad Chambers, Opera House, Mumbai - 400004 to transact the following business:
ORDINARY BUSINESS

To receive, consider and adopt the Audited Balance Sheet as at 31[st] March 2021, the Profit and Loss Account for the year ended on that date and the Reports of the Directors and Auditors thereon.

To appoint Director in place of Mr. Vishal Dedhia (DIN 00728370) who retires by rotation and, being eligible, offers himself for re-appointment.
SPECIAL BUSINESS
- To appoint and fix remuneration of Mr. Vishal Dedhia (DIN: 00728370) as Whole-time Director as per Companies Act, 2013 To consider and, if thought fit, to pass, with or without modifications, the following resolution as Special Resolution:
“RESOLVED THAT subject to the provisions of Sections 196, 197 and all other applicable provisions of the Companies Act, 2013 (“the Act”) (including any statutory modification or re-enactment thereof for the time being in force) read with Schedule V of the Act and Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014 and Articles of Association of the Company and subject to such approvals, permissions and sanctions, as may be required, approval of the Company be and is hereby accorded to the re-appointment and remuneration to Mr. Vishal Dedhia (DIN: 00728370) as Whole-time Director of the Company under the Companies Act, 2013 for a period of three years with effect from 01[st] September, 2021 to 31st August, 2024 (both days inclusive), on terms and conditions including remuneration as set out in the Statement annexed to the Notice convening this Meeting, with liberty to the Board of Directors (hereinafter referred to the “Board” which term shall be deemed to include the Nomination and Remuneration Committee of the Board) to alter and vary the terms and conditions of the said reappointment and /or remuneration as it may deem fit and as may be acceptable to Mr. Vishal Dedhia, subject to the same not exceeding the limits specified under Schedule V of the Companies Act, 2013 or any statutory modification(s) or re-enactments thereof.”
“RESOLVED FURTHER THAT the Board be and is hereby authorized to do all such acts and take all such steps as may be necessary, proper or expedient to give effect to this resolution without being required to seek any further consent or approval of the members or otherwise to the end and intent that it shall be deemed to have their approval thereto expressly by the authority of this resolution.”

Members attending Annual General Meeting at the Venue are required to take proper precautions for attending a meeting considering COVID-19 pandemic situation.

A statement giving the relevant details of the Director seeking re-appointment under Item No. 2 and 3 of the accompanying Notice.

The relevant Statement pursuant to section 102 (1) of the Companies Act, 2013, in respect of Special Business at the meeting, is annexed hereto and forms part of this notice.

A member entitled to attend and vote is entitled to appoint a proxy to attend and vote instead of himself and the proxy need not be a member. Proxies in order to be effective must be received by the company not later than forty eight (48) hours before the meeting. Proxies submitted on behalf of limited companies, societies, etc., must be supported by appropriate resolutions/authority, as applicable.
A person can act as proxy on behalf of Members not exceeding fifty (50) and holding in the aggregate not more than 10% of the total share capital of the Company. In case a proxy is proposed to be appointed by a Member holding more than 10% of the total share capital of the Company carrying voting rights, then such proxy shall not act as a proxy for any other person or shareholder.

Members are requested to bring their attendance slips duly completed and signed mentioning therein details of their DP ID and Client ID/ Folio No.

In case of joint holders attending the Meeting, only such joint holder who is higher in the order of names will be entitled to vote at the Meeting.

Share Transfer Books of the Company will remain closed from 21[st] September, 2021 to 27[th] September, 2021 (both days inclusive) for the purpose of Annual General Meeting (AGM) of the Company to be held on 27[th] September, 2021.

Relevant documents referred to in the accompanying Notice are open for inspection by the Members at the Company’s Registered Office on all working days of the Company, during business hours up to the date of the Meeting.

Corporate Members intending to send their authorized representatives to attend the Meeting pursuant to Section 113 of the Companies Act, 2013 are requested to send to the Company, a certified copy of the relevant Board Resolution together with their respective specimen signatures authorizing their representative(s) to attend and vote on their behalf at the Meeting.

Members seeking any information with regard to the Accounts are requested to write to the Company at an early date, so as to enable the Management to keep the information ready at the meeting.

The Ministry of Corporate Affairs has taken a “Green Initiative in the Corporate Governance” by allowing paperless compliances by the companies and has issued circulars stating that service of notice/documents including Annual Report can be sent by e-mail to its members. To support this green initiative of the Government in full measure, members are requested to register their e-mail addresses in respect of electronic holdings with the Depository through their concerned Depository Participants.

The Notice of the AGM along with the Annual Report 2020-2021 is being sent by electronic mode to those Members whose e-mail addresses are registered with the Company/Registrar i.e. Purva Sharegistry (I) Pvt Ltd, unless any Member has requested for a physical copy of the same. For Members who have not registered their e- mail addresses, physical copies are being sent by the permitted mode.

The Securities and Exchange Board of India (SEBI) has mandated the submission of Permanent Account Number (PAN) by every participant in the securities market. Members holding shares in electronic form are, therefore, requested to submit their PAN to the Depository Participants with whom they maintain their demat accounts. Members holding shares in physical form should submit their PAN to the Company.

- E-Voting process
In compliance with the provisions of Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management & Administration) Rules, 2014, the Company is pleased to provide members facility to exercise their voting rights at the 44[th] Annual General Meeting (AGM) by electronic means and the business may be transacted through ‘remote e-voting’ services provided by Central Depository Services (India) Ltd. (CDSL).
The instructions for shareholders voting electronically are as under:

(i) The remote e-voting period begins on 24[th] September, 2021 at 9.00 am and ends on 26[th] September, 2021 at 5.00 pm. During this period shareholders’ of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date (record date) of 20[th] September, 2021, may cast their vote electronically. The e-voting module shall be disabled by CDSL for voting thereafter.

(ii) The shareholders should log on to the e-voting website www.evotingindia.com.

However, members holding shares in demat form will now reach ‘Password Creation’ menu wherein they are required to mandatorily enter their login password in the new password field. Kindly note that this password is to be also used by the demat holders for voting for resolutions of any other company on which they are eligible to vote, provided that company opts for e-voting through CDSL platform. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential.

(xiv) After selecting the resolution you have decided to vote on, click on “SUBMIT”. A confirmation box will be displayed. If you wish to confirm your vote, click on “OK”, else to change your vote, click on “CANCEL” and accordingly modify your vote.

(xv) Once you “CONFIRM” your vote on the resolution, you will not be allowed to modify your vote.

Apple and Windows phone users can download the app from the App Store and the Windows Phone Store respectively. Please follow the instructions as prompted by the mobile app while voting on your mobile.

(xix) Note for Non – Individual Shareholders and Custodians

Non-Individual shareholders (i.e. other than Individuals, HUF, NRI etc.) and Custodian are required to log on to www.evotingindia.com and register themselves as Corporate.

A scanned copy of the Registration Form bearing the stamp and sign of the entity should be emailed to [email protected].

After receiving the login details a compliance user should be created using the admin login and password. The Compliance user would be able to link the account(s) for which they wish to vote on.

The list of accounts should be mailed to [email protected] and on approval of the accounts they would be able to cast their vote.

A scanned copy of the Board Resolution and Power of Attorney (POA) which they have issued in favour of the Custodian, if any, should be uploaded in PDF format in the system for the scrutinizer to verify the same.

(xxi) Those persons, who have acquired shares and have become Members of the Company after the dispatch of Notice of the AGM by the Company and whose names appear in the Register of Members or Register of beneficial holders as on cut-off date i.e. 20[th] September, 2021 shall view the Notice of the 44[th] AGM on the Company’s website or on the website of CDSL. Such Members shall exercise their voting rights through remote e-voting by following the procedure as mentioned above or by voting at the AGM.

(xxii) Shareholders who have already voted prior to the meeting date would not be entitled to vote at the meeting venue.

(xxiii) Payal Tachak, Proprietress of M/s Payal Tachak & Associates, Practicing Company Secretary has been appointed as a Scrutinizer to scrutinize the remote e-voting and voting process at the AGM in a fair and transparent manner. E- Voting is optional to the shareholders, the shareholders can alternatively vote in the AGM by physically attending the AGM. The facility for voting, through ballot paper shall also be made available at the venue of the AGM. The members attending the meeting, who have not already cast their vote through remote e-voting shall be able to exercise their voting rights at the meeting. The members who have already cast their vote through remote e-voting may attend the meeting but shall not be entitled to cast their vote again at the AGM. A Member can opt for only one mode of voting i.e. either through e-voting or in physical form. If a Member casts his/her vote by both modes, then voting done through e-voting shall prevail and the vote by ballot shall be treated as invalid.

(xxiv) The Voting Results along with the Consolidated Scrutinizer’s report shall be placed on the Company’s website and on the website of CDSL not later than three days of conclusion of the AGM of the Company and communicated to the BSE Limited.

STATEMENT PURSUANT TO SECTION 102 (1) OF THE COMPANIES ACT, 2013
ITEM NO. 3:
The members at the 41[st] Annual General Meeting held on 28[th] September, 2018 had approved the appointment of Mr. Vishal Dedhia as Whole-time Director of the Company, for a period of 3 years from 01[st] September, 2018 to 31[st] August, 2021 and remuneration of basic salary of Rs. 60,000 per annum for a period of 3 years from 01[st] September, 2018 to 31[st] August, 2021. The term of 3 years of Mr. Vishal Dedhia is expiring on 31st August, 2021. The Board of Directors of the Company at its Meeting held on 30[th] August, 2021 has pursuant to the recommendation of the Nomination and Remuneration Committee and subject to the approval of members, approved re-appointment and remuneration of Mr. Vishal Dedhia, as Whole-time Director under the Companies Act, 2013 for a period of 3 years from 01[st] September, 2021 to 31[st] August, 2024 (both days inclusive). The Whole-time Director shall also be a Key Managerial Personnel under Section 203 of the Companies Act, 2013.
The other terms of remuneration payable to Mr. Vishal Dedhia, Whole-time Director are set out below:
SALARY:
Basic Salary shall be Rs. 60,000/- (Rs. Sixty Thousand) per year.
PERQUISITES:
Mr. Vishal Dedhia shall not be entitled to any perquisites
COMMISSION:
Mr. Vishal Dedhia shall not be entitled to any commission
The nature of employment of the WTD with the Company shall be contractual and can be terminated by giving three months’ notice from either party. Pursuant to the provisions of Sections 196, 197 and 203 and all other applicable provisions of the Companies Act, 2013 (“the Act”), including Schedule V to the Act, the remuneration payable to the Whole-time Director is now being placed before the members in the 44[th] Annual General Meeting for their approval by way of a Special Resolution.
The following additional information as required by Section II of Part II of Schedule V to the Companies Act, 2013 is given below:
I. General Information:
(i) Nature of Industry: The Company was directly engaged in the manufacturing of textiles. But as of today the company has no factory as of today. The company is trying to revive itself by doing some trading business and eventually set up a factory some time in future and restart the manufacturing of textile business the company was doing earlier.
(ii) Date or expected date of Commencement of Commercial production: As of date is difficult to give a date but the company is trying its best to commence its manufacturing business but we hope that on best effort basis the day will come soon.
(iii) In case of new companies, expected date of commencement of activities as per project approved by financial institutions appearing in the prospectus: Not Applicable
(iv) Financial performance based on given indicators - as per audited financial results for the year ended 31[st] March 2021.

II Information about the appointee
(i)Background Details: Mr. Vishal Dedhia, MBA having vast experience in the field of financial management.
(ii) Past remuneration: remuneration drawn by Mr. Vishal Dedhia for the period 1[st ] April 2020 to 31[st] March 2021 is Rs. 60,000/-.
(iii) Recognition or awards: None
(iv) Job profile and her suitability: Mr. Vishal Dedhia, Whole-time Director is responsible for day to day management of the Company. Taking into consideration his qualifications and expertise in Finance and Marketing, the whole-time Director is best suited for the responsibilities of current assigned role.
(v) Remuneration proposed: Basic salary of Rs. 60,000/- per annum.
(vi) Comparative remuneration profile with respect to industry, size of the company, profile of the position and person (in case of expatriates the relevant details would be with respect to the country of his origin): Taking into consideration the size of the Company, the profile of Mr. Vishal Dedhia, the responsibilities shouldered by him and the industry benchmarks, the remuneration proposed to be paid is commensurate with the remuneration packages paid to similar senior level counterpart(s) in other companies.
(vii) Pecuniary relationship directly or indirectly with the company or relationship with the managerial personnel, if any : Besides the remuneration proposed to be paid to him, Mr. Vishal Dedhia is a Designated Partner in the firm M/s. Edge Consultancy Services LLP which is the promoter of the company. Additionally, he does not have any relationship with any of the other managerial personnel.
III. Other Information

(i) Reasons for loss or inadequate profits: The company is currently going through a loss since the company is not able to explore any business opportunities either in manufacturing or trading of textiles even after its best efforts. But the expenses of day to day running of a company are always going to be there whether there is revenue or not hence the company is facing loss as of today. But we wish to change the situation soon.

(ii) Steps taken or proposed to be taken for improvement: The company is trying to explore opportunities and change the tide and ensure that the company starts making profits on best effort basis.

(iii) Expected increase in productivity and profits in measurable terms etc.: It will be difficult for the company to comment on the same as of now when there is no business at all. But we assure you that once we kick start the earning process we will be able to give forward looking forecast on all aspects.
None of the Directors/Key Managerial Personnel of the Company/their relatives are in any way, concerned or interested in the proposed resolution except Mr. Vishal Dedhia.
Your Directors recommend Resolution at Item No. 3 as a Special Resolution for approval of the members.

4. SHARE CAPITAL
The total paid up capital of the Company as on 31[st] March, 2021 is Rs. 8,30,02,770/- comprising of 83,00,277 Equity Shares of Rs. 10/- each.
5. BUSINESS OUTLOOK
The markets your Company is concerned with are undergoing a massive disruption due to the outbreak of COVID-19. The situation caused by the COVID-19 pandemic continues to evolve and the effects on such markets remain uncertain.
The outlook going forward will depend, in addition to other factors, on how COVID-19 continues to affect the economy.
Further information regarding the potential impact of COVID-19 and various steps taken by your Company are provided as part of the MD&A Report.
6. FIXED DEPOSITS
Your Company has not accepted any deposits within the meaning of Section 73 of the Companies Act, 2013 and the Companies (Acceptance of Deposits) Rules, 2014.
7. DIRECTORS AND KEY MANAGERIAL PERSONNEL
The Company has received declaration from all the Independent Directors of the Company confirming that they meet criteria of independence as prescribed under Section 149(6) of the Companies Act, 2013.

9. MATERIAL CHANGES AND COMMITMENTS AFFECTING FINANCIAL POSITION
No material changes and commitments, affecting the financial position of the Company occurred between the end of the Financial Year of the Company i.e. 31[st] March, 2021 and the date of this Directors’ Report i.e. 30[th] August, 2021 except as mentioned in this Report.

A calendar of Meetings is prepared and circulated in advance to the Directors. During the year Five Board Meetings and Four Audit Committee Meetings were convened and held.

13. REMUNERATION POLICY
The Board has, on the recommendation of the Nomination & Remuneration Committee framed a policy for selection and appointment of Directors, KMP, Senior Management and their remuneration.
14. DIRECTOR’S RESPONSIBILITY STATEMENT
In terms of Section 134(5) of the Companies Act, 2013, the directors would like to state that:

a) In the preparation of the annual accounts, the applicable accounting standards have been followed.

b) The directors have selected such accounting policies and applied them consistently and made judgments and estimates that were reasonable and prudent so as to give true and fair view of the state of affairs of the Company for the year under review.

c) The directors have taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of this Act for safeguarding the assets of the Company and for preventing and detecting fraud and other irregularities.

d) The directors have prepared the annual accounts on a going concern basis.

e) The directors had laid down internal financial controls to be followed by the Company and that such internal financial controls are adequate and were operating effectively.

f) The directors had devised proper system to ensure compliance with the provisions of all applicable laws and that such system were adequate and operating effectively.
15. AUDITORS
Laxmi Tripti & Associates , Chartered Accountant Firm ( FRN: 009189C ) as the Statutory Auditor of the Company to hold office from the conclusion of this Annual General Meeting (AGM) till the conclusion of the 47[th] AGM of the Company to be held in the year 2024.
16. AUDITORS’ REPORT
The Board has duly examined the Statutory Auditor’s report on accounts which is self explanatory and clarifications wherever necessary, have been included in the Notes to Financial Statements of the Annual Report.
17. SECRETARIAL AUDIT REPORT
In terms of Section 204 of the Act and Rules made there under, Payal Tachak, Proprietress of M/s. Payal Tachak & Associates, Practicing Company Secretary had been appointed as Secretarial Auditor of the Company for the Financial Year 2020-2021.
The report of the Secretarial Auditors is enclosed as Annexure to this report.
Secretarial Auditor’s observation and Management’s explanation to the Auditor’s observation –
- a) Regulation 47 of the SEBI (Listing obligations and Disclosure Requirements) Regulation, 2015, Section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management and Administration), Rules, 2014 and Section 91 of the Companies Act 2013 read with Rule 10 of the Companies (Management and Administration) Rules, 2014 – Publication of Results audited and unaudited in news paper, Voting Through Electronic means, News Paper Advertisement for Book Closure.
The Company has not been complying that since the financial position of the Company does not allow Board to incur such expenditure keeping in mind that the results are made available for investors and market through Stock Exchange. The Company, on timely basis submits the results to the Exchange to bring the information in public domain.
- b) Regulation 14 of SEBI (Listing Obligations and Disclosures Requirements) Reg. 2015 – Payment of Annual Listing Fees to Stock Exchange within 30 days from Financial Year end.
The Company did not have adequate funds to pay full Listing Fees at stipulated time, so Company had made delayed payment, further Board will make the payment for Listing fees for Financial Year 2020-21, as and when adequate funds available with the Company.

c) Quarterly/Half-yearly/Annual Compliances of Calcutta Stock Exchange for period under review. The management will do the needful at the earliest.

d) The Composition of the Nomination & Remuneration Committee is not adequate and proper as required under Section 178(1) of Companies Act, 2013 and under Regulation 19(1)(b) and (c) of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015.
The Company is in the process of complying the same.
18. VIGIL MECHANISM
In pursuant to the provisions of section 177(9) & (10) of the Companies Act, 2013, a Vigil Mechanism for directors and employees to report genuine concerns has been established. The Vigil Mechanism Policy has been uploaded on the website of the Company under investors/policy documents/Vigil Mechanism Policy link.
19. RISK MANAGEMENT POLICY
The Company has laid down a well defined Risk Management Policy. The Board periodically reviews the risk and suggests steps to be taken to control and mitigate the same through a proper defined framework.
20. EXTRACT OF ANNUAL RETURN
As required pursuant to section 92(3) of the Companies Act, 2013 and rule 12(1) of the Companies (Management and Administration) Rules, 2014, an extract of annual return in MGT 9 as a part of this Annual Report as ANNEXURE I.
21. CODE OF CONDUCT
The Board of Directors has approved a Code of Conduct which is applicable to the Members of the Board and all employees in the course of day to day business operations of the company. The code laid down by the Board is known as “code of business conduct” which forms an Appendix to the Code. The Code has been posted on the Company’s website.
22. CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION AND FOREIGN EXCHANGE EARNINGS AND OUTGO
Conservation of energy, technology absorption, foreign exchange earnings and outgo are nil during the year under review.
23. INDUSTRIAL RELATIONS
During the year under review, your Company enjoyed cordial relationship with workers and employees at all levels.
24. INTERNAL CONTROL SYSTEMS AND THEIR ADEQUACY
Your Company has an effective internal control and risk-mitigation system, which are constantly assessed and strengthened with new/revised standards operating procedures. The Company’s internal control system is commensurate to the size, scale and complexities of its Operations.
25. PARTICULARS OF CONTRACTS OR ARRANGEMENTS WITH RELATED PARTIES
The Company has not entered any contracts or arrangements with related parties specified under Section 188 of Companies Act, 2013.
26. LISTING WITH STOCK EXCHANGES
The Company is listed on BSE Limited and Calcutta Stock Exchange Limited (CSE). The Company is currently suspended on Calcutta Stock Exchange.
27. OTHER INFORMATION
Your Directors hereby states that no disclosure or reporting is required in respect of the following items as there were no transactions on these items during the year under review:

There are no contracts or arrangements entered into by the Company with related parties referred to in sub-section (1) of section 188 of the Companies Act, 2013.

d) The Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations, 1993 regarding the Companies Act and dealing with client;

e) The Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009; and f) The Securities and Exchange Board of India (Buyback of Securities) Regulations, 1998;

Provisions of the Foreign Management Act, 1999 and the rules and Regulations made there under to the extent of External Commercial Borrowings were not attracted to the company under the Audit period.

- I have also examined compliance with the applicable clauses of the Secretarial Standards including the amended Secretarial standards issued by The Institute of Company Secretaries of India under the provisions of the Companies Act, 2013 and as applicable.
During the period under review and as per the explanations and the clarifications given to us and there presentation made by the Management of the Company, the Company has generally complied with the provisions of the Act, Rules, Regulations, Guidelines, Standards, etc. mentioned above to the extend applicable and subject to the following observation.
- a) Regulation 47 of the SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015 – Advertisement in News Paper
Pursuant Regulation 47 of the SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015, the Company shall issue a public notice in at least in one English daily newspaper circulating in the whole or substantially the whole of India and in one daily newspaper published in the language of the region, where the registered office of the company is situated for following matters:
1. Board meeting wherein quarterly unaudited / audited results are to be considered where prior 5 clear day’s intimation needs to be published.
2. Financial results within 48 hrs of the conclusion of Board or committee meeting at which they were approved.
However, during the period under review, the Company has not complied with the requirements of the SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015.
- b) Section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management and Administration), Rules, 2014 – News Paper notice for Voting Through Electronic means
Pursuant to Rule 20 (4) (v) of the Companies (Management and Administration), Rules, 2014 the Company shall cause a public notice by way of an advertisement to be published, immediately on completion of dispatch of notices for the meeting not later than 21 days prior to the date of General Meeting at least once in English newspaper having country wide circulation and once in vernacular language news paper in principle vernacular language of the District in which company is situated, having wide circulation in the District.
However, during the period under review, the Company has not complied with the requirements of Section 108 of the Companies Act 2013 read with Rule 20 of the Companies (Management and Administration), Rules, 2014.
- c) Section 91 of the Companies Act 2013 read with Rule 10 of the Companies (Management and Administration) Rules, 2014 – News Paper Advertisement for Book Closure.
Pursuant to Section 91 of the Companies Act, 2013 read with Rule 10 of the Companies (Management and Administration) Rules, 2014, a Listed Company closing the Register of Members shall give news paper advertisement for Book Closure at least 7 days prior to the Book Closure in vernacular newspaper in the principle vernacular language of the District and having a wide circulation in the place where registered office of the Company is situated also at least once in English Language in an English Newspaper circulating in that district and having wide circulation in the place where the Registered office of the Company is situated.
However, during the period under review, the Company has not complied with the requirement of Section 91 of the Companies Act read with Rule 10 of the Companies (Management and Administration) Rules, 2014.
- d) Regulation 14 of the SEBI (Listing Obligations and Disclosures Requirements) Reg. 2015- Payment of Annual Listing fees to Stock Exchange within 30 days from Financial Year end.
However, the Company has delayed in payment Annual Listing fees to BSE Limited for Financial Year 20202021.
- e) Quarterly/Half-yearly/Annual Compliances of Calcutta Stock Exchange for period under review.
The company has not complied with the Quarterly/Half-yearly/Annual Compliances of Calcutta Stock Exchange for period under review.

- e) The Composition of the Nomination & Remuneration Committee is not adequate and proper as required under Section 178(1) of Companies Act, 2013 and under Regulation 19(1)(b) and (c) of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015.
I Further report that; Securities and Exchange Board of India (SEBI) and Exchanges in order to enhance market integrity and safeguard interest of investors, have introduced Graded Surveillance Measures (GSM) wherein certain identified securities shall be subjected to enhanced monitoring and surveillance actions. The Company is kept under Graded Surveillance Measures (GSM) by BSE Limited.
I further report that ; the Board of Directors of the Company is duly constituted with proper balance of Executive Directors, Non-Executive Directors and Independent Directors. The changes in the composition of the Board of Directors that took place during the period under review were carried out in compliance with the provisions of the Act.
Adequate notice for the Board / Committee Meetings was given to all directors to schedule the Board/Committee Meetings, agenda and detailed notes on agenda were sent at least seven days in advance, and a system exists for seeking and obtaining further information and clarifications on the agenda items before the meeting and for meaningful participation at the meeting.
Majority decision is carried through while the dissenting members’ views are captured and recorded as part of the minutes.
I further report that; as represented by the Company and relied upon by us there are adequate systems and processes in the Company commensurate with the size and operations of the Company to monitor and ensure compliance with applicable laws, rules, regulations and guidelines.
I further report that; during the audit period the Company has not passed any Board Resolutions which are having major bearing on the Company’s affairs in pursuance of the above referred laws, rules, regulations, guidelines, standards except following:

No business was carried out by the Company during the reporting period due to various factors affecting business. Further the Business operations are highly affected due to Nationwide lockdown and COVID 19 pandemic situation. Management is in process of finding new markets and business avenues keeping in mind current economic conditions.
FINANCIAL PERFORMANCE
The financial performance of the company for the year under review is discussed in detail in the directors report.
SEGMENT WISE PERFORMANCE
As there is no particular operational activity segment wise performance is not applicable.
RISK MANAGEMENT:
To manage risk of an COVID-19 outbreak within the company’s premises impacting employee safety & well-being constant communication on building employee awareness, limited working from campus, proper sanitization, appropriate social distancing are already in place.
BUSINESS OUTLOOK
The markets your Company is concerned with are undergoing a massive disruption due to the outbreak of COVID-19. The situation caused by the COVID-19 pandemic continues to evolve and the effects on such markets remain uncertain.
The outlook going forward will depend, in addition to other factors, on how COVID-19 continues to affect the economy.
Decisions made by local governments or public health bodies owing to the COVID-19 pandemic, posing restrictions on physical movement of employees thereby impacting business continuity.
Our team including legal, office administration, IT enablement & IT security teams. are reviewing the situation closely and providing adequate information on the appropriate measures to be taken to remain compliant

To the Members of M/s. Shree Manufacturing Company Limited Report on the standalone Financial Statements
Opinion
We have audited the accompanying Standalone financial statements of M/s. Shree Manufacturing Company Limited (“ the Company ”) which comprises the Balance Sheet as at March 31, 2021, the Statement of Profit and Loss and statement of cash flows for the year then ended, and notes to the financial statements, including a summary of significant accounting policies and other explanatory information.
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India, of the state of affairs of the Company as at March 31, 2021, and profit/loss and its cash flows for the year ended on that date.
Basis for Opinion
We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(10) of the Companies Act, 2013. Our responsibilities under those Standards are further described in the Auditor’s Responsibilities for the Audit of the Financial Statements section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India together with the ethical requirements that are relevant to our audit of the financial statements under the provisions of the Companies Act, 2013 and the Rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Key Audit Matters
We draw the attention to the fact that the company is having accumulated loss of Rs 1007.65 Lakhs as at the year ended 31-03-2021 which is more than its net worth, the company has to be treated as sick as per the provision of SICA, 1985. The company does not have any particular business and as the company has sold all its fixed assets and there are insignificant revenue generated during the year along with other matters set out in the notes of the financial statements, the substantial doubt arises whether the company will be able to continue as going concern.
In our opinion and to the best of our information and according to the explanations given to us, except for the effect of the matter described in the basis for qualified opinion paragraph, the aforesaid standalone Ind AS financial statements give the information required by the Act in the manner so required and give a true and fair view in conformity with the accounting principles generally accepted in India including the Ind AS, of the financial position of the Company as at 31 March, 2021, and its financial performance including its cash flows and the changes in equity for the year ended on that date.

The Company’s Board of Directors is responsible for the matters stated in section 134(5) of the Companies Act, 2013 (“the Act”) with respect to the preparation of these standalone financial statements that give a true and fair view of the financial position, financial performance and cash flows of the Company in accordance with the accounting principles generally accepted in India, including the accounting Standards specified under section 133 of the Act. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate implementation and maintenance of accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the financial statement that give a true and fair view and are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, management is responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.

Auditor’s Responsibility for the Audit of the Financial Statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Report on Other Legal and Regulatory Requirements
As required by the Companies (Auditor’s Report) Order, 2016 (“the Order”), issued by the Central Government of India in terms of sub-section (11) of section 143 of the Companies Act, 2013, we give in the Annexure a statement on the matters specified in paragraphs 3 and 4 of the Order, to the extent applicable.
As required by Section 143(3) of the Act, we report that:

a. We have sought and obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purposes of our audit.

b. In our opinion, proper books of account as required by law have been kept by the Company so far as it appears from our examination of those books.

c. The Balance Sheet, the Statement of Profit and Loss, and the Cash Flow Statement dealt with by this Report are in agreement with the books of account.

d. In our opinion, the aforesaid standalone financial statements comply with the Accounting Standards specified under Section 133 of the Act, read with Rule 7 of the Companies (Accounts) Rules, 2014.

e. On the basis of the written representations received from the directors as on 31st March, 2021 taken on record by the Board of Directors, none of the directors is disqualified as on 31st March, 2021 from being appointed as a director in terms of Section 164 (2) of the Act.

f. With respect to the adequacy of the internal financial controls over financial reporting of the Company and the operating effectiveness of such controls, refer to our separate Report in “Annexure A”.

g. With respect to the other matters to be included in the Auditor’s Report in accordance with Rule 11 of the Companies (Audit and Auditors) Rules, 2014, in our opinion and to the best of our information and according to the explanations given to us:

i. The Company does not have any pending litigations which would impact its financial position.

ii. The Company has not made provision, as required under the applicable law or accounting standards, for material foreseeable liability on redemption of preference shares. Refer note 3 C

iii. There were no amounts which were required to be transferred to the Investor Education and Protection Fund by the Company.

Annexure - A to the Auditors’ Report
The Annexure referred to in Independent Auditors’ Report to the members of the Company on the standalone financial statements for the year ended 31 March 2021, we report that:

I. As the Company does not hold any fixed assets for the year, the requirement of clause (i) of paragraph 3 of the order is not applicable to the company.
-
II. As the Company does not hold any inventories for the year, the requirement of clause (ii) of paragraph 3 of the order is not applicable to the company.

III. The company has not granted any loans, secured or unsecured to/from companies, firms or other parties covered in the register maintained u/s 189 of the Act. The Company has not purchased any goods or fixed assets, and affected any sales during the year, thus requirement of clause (iv) of the Order are not applicable to the Company.

IV. The company has not granted any loans, secured or unsecured under section 185, made any investment, provided any guarantee or security. Hence the question of reporting under the cause 3(iv) of the order does not arise.

V. In our opinion and according to the information and explanation given to us, the Company has compiled with the directives issued by the Reserve Bank of India and the provision of section 73 to 76 or any other relevant provision of the Companies Act and the rules framed there under, to the extent applicable. We are informed by the Management that no order has been passed by the Company Law Board or National Company Law Tribunal or Reserve Bank of India or any court or any Tribunal in this regard.

VI. As informed to us, the Central Government has not prescribed maintenance of Cost Records under subsection (1) of the section 48 of the Act.
VII. a. According to the information and explanation given to us and according to records of the Company examined by us, in our opinion the Company is generally regular in depositing with the appropriate authorities undisputed statutory dues including Provident fund, employees’ state insurance, income tax, sales tax, wealth tax, customs duty, excise duty, cess and other material statutory dues wherever applicable. According to the information and explanation given to us, no undisputed amount payable in respect of aforesaid dues were outstanding as at March 31, 2021 for more than six months from the date they became payable. b. According to the information and explanation given to us, there are no disputed amounts payable in respect of income tax, Sales tax, Wealth tax, Customs duty, Excise duty and Cess outstanding as at the year end. VIII. As per explanation given to us, no fraud on or by the company has been noticed for reported We have been informed that the Company has not defaulted in repayment of loan or borrowings to financial institution, banks and Government, The Company has not raised any funds through debentures. IX. The Company has not raised money by the way of initial public offer or further public offer (including debt instrument). X. According to the information and explanations given to us, we report that no fraud by the company or any fraud on the Company by its officers or employees has been noticed or reported during the year. XI. The managerial remuneration has been paid in accordance with the requisite approvals mandated by the provision of section 197 read with schedule V to the Act. XII. The Company is not a chit fund or a Nidhi company. Hence, the question of reporting under clause 3(xii) of the order does not arise. XIII. The Company has compiled with the provision of section 177 and 188 of the in respect of transaction with the related parties and the details have been disclosed in the Financial Statement etc as required by the applicable accounting standards. Report on the Internal Financial Controls under Clause (i) of Sub-section 3 of Section 143 of the Companies Act, 2013 (“the Act”)
We have audited the internal financial controls over financial reporting of Shree Manufacturing Company limited (“the Company”) as of 31 March 2021 in conjunction with our audit of the standalone financial statements of the Company for the year ended on that date.
Management’s Responsibility for Internal Financial Controls
The Company’s management is responsible for establishing and maintaining internal financial controls based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls over Financial Reporting issued by the Institute of Chartered Accountants of India (‘ICAI’). These responsibilities include the design, implementation and maintenance of adequate internal financial controls that were operating effectively for ensuring the orderly and efficient conduct of its business, including adherence to company’s policies, the safeguarding of its assets, the prevention and detection of frauds and errors, the accuracy and completeness of the accounting records, and the timely preparation of reliable financial information, as required under the Companies Act, 2013.
Auditors’ Responsibility
Our responsibility is to express an opinion on the Company's internal financial controls over financial reporting based on our audit. We conducted our audit in accordance with the Guidance Note on Audit of Internal Financial Controls over Financial Reporting (the “Guidance Note”) and the Standards on Auditing, issued by ICAI and deemed to be prescribed under section 143(10) of the Companies Act, 2013, to the extent applicable to an audit of internal financial controls, both applicable to an audit of Internal Financial Controls and, both issued by the Institute of Chartered Accountants of India. Those Standards and the Guidance Note require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether adequate internal financial controls over financial reporting was established and maintained and if such controls operated effectively in all material respects.
Our audit involves performing procedures to obtain audit evidence about the adequacy of the internal financial controls system over financial reporting and their operating effectiveness. Our audit of internal financial controls over financial reporting included obtaining an understanding of internal financial controls over financial reporting, assessing the risk that a material weakness exists, and testing and evaluating the design and operating effectiveness of internal control based on the assessed risk. The procedures selected depend on the auditor’s judgment, including the assessment of the risks of material misstatement of the standalone Ind AS financial statements, whether due to fraud or error. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion on the Company’s internal financial controls system over financial reporting.
Meaning of Internal Financial Controls over Financial Reporting
A company's internal financial control over financial reporting is a process designed to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with generally accepted accounting principles. A company's internal financial control over financial reporting includes those policies and procedures that:
(1) Pertain to the maintenance of records that, in reasonable detail, accurately and fairly reflect the transactions and dispositions of the assets of the company;
(2) provide reasonable assurance that transactions are recorded as necessary to permit preparation of financial statements in accordance with generally accepted accounting principles, and that receipts and expenditures of the company are being made only in accordance with authorizations of management and directors of the company; and
(3) Provide reasonable assurance regarding prevention or timely detection of unauthorized acquisition, use, or disposition of the company's assets that could have a material effect on the financial statements.

Inherent Limitations of Internal Financial Controls over Financial Reporting
Because of the inherent limitations of internal financial controls over financial reporting, including the possibility of collusion or improper management override of controls, material misstatements due to error or fraud may occur and not be detected. Also, projections of any evaluation of the internal financial controls over financial reporting to future periods are subject to the risk that the internal financial control over financial reporting may become inadequate because of changes in conditions, or that the degree of compliance with the policies or procedures may deteriorate.
Opinion
In our opinion, the Company has, in all material respects, an adequate internal financial controls system over financial reporting and such internal financial controls over financial reporting were operating effectively as at 31 March 2021, based on the internal control over financial reporting criteria established by the Company considering the essential components of internal control stated in the Guidance Note on Audit of Internal Financial Controls Over Financial Reporting issued by the Institute of Chartered Accountants of India.

SIGNIFICANT ACCOUNTING POLICIES & NOTES ON FINANCIAL STATEMENTS
1. SIGNIFICANT ACCOUNTING POLICIES:
Basis for preparation of accounts
The financial statements have been prepared on an accrual basis of accounting and in accordance with the Generally Accepted Accounting Principles in India, provisions of the Companies Act, 2013 and comply in material aspects with the accounting standards notified under Section 133 of the Act, read with Companies (Accounting Standards) Rules, 2015, except for gratuity which is accounted on cash basis.
Use of Estimates
The preparation of financial statements requires the Management of the Company to make estimates and assumptions that affect the reported balance of assets and liabilities, revenue and expenses and disclosures relating to contingent liabilities. The Management believes that the estimates used in the preparation of the financial statements are prudent and reasonable. Future results could differ from these estimates. Any revision of accounting estimates is recognised prospectively in the current and future periods.
Revenue Recognition
Revenue is recognized to the extent that is probable that the economic benefits will flow to the Company and the revenue can be reliably measured.
Government Grants and Subsidies
Government grants in the nature of promoters contribution like investment subsidy, where no repayment is expected in respect thereof, are treated as capital reserve.
Tangible Fixed Assets
There are no Fixed Assets.
Depreciation and Amortisation
As there are no fixed assets, there is no depreciation provision.
Valuation of Inventories
There was no inventory in the current financial year.
Foreign Currency Transaction
There was no foreign currency transaction during the year.
Retirement Benefits
There is no gratuity liability for the year under review.
Taxation
Current income tax is measured at the amount expected to be paid to the tax authorities in accordance with the provisions of local Income Tax Laws as applicable to the financial year.
Earnings Per Share
Basic earnings per share is calculated by dividing the net profit or loss for the period attributable to equity shareholders by the weighted average number of equity shares outstanding during the period.
Deferred Tax
Company has not recognised deferred tax asset as there in no reasonable certainty that in future sufficient taxable income will be available against which such deferred tax asset can be realized.
