Sub: Appointment of Mr. William Kim as an Independent Director

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, this is to inform that based on recommendation of Nomination, Remuneration and Corporate Governance Committee, the Board of Directors of the Company, at its Meeting held today, i.e. June 15, 2020, approved the appointment of Mr. William Kim (DIN: 0008750326) as an Additional Director in the capacity of Non-Executive Independent Director of the Company.

Mr. William Kim is appointed for a period of five years, effective June 15, 2020, subject to approval of the shareholders at the ensuing Annual General Meeting of the Company.

A brief profile of Mr. William Kim is enclosed herewith as Annexure I.

Please take note that Mr. William Kim is not related to any of the Directors of the Company and it is further affirmed that he is not debarred from holding the office of Director by virtue of any SEBI order or any other such authority.

Annexure I – Brief profile of Mr. William Kim

Mr. William Kim, 48, is an experienced Executive with an obsession for Design Thinking and using creativity to solve today's business issues. Skilled in transforming company models utilising Luxury/Contemporary/Hard Luxury/ Retail /Digital Sector experiences to build a future proof, global, digital model.

He is EVP – Global Retail and Digital Commerce (Global Direct to Consumer Center) with Samsung, since February 2019.

He had joined AllSaints as its CEO in 2012 and moved to Lion Capital, its parent company in 2018 as Head of digital investments. AllSaints is a British fashion retailer headquartered in London, UK. From 2005 to 2011, he was associated with Burberry Group PLC, where has played varied roles from Vice President & Representative Director (Korea, Taiwan, South East Asia, Asia Travel Retail & DFC), SVP – Digital Commerce and SVP Retail. He was also associated with Gucci Group from 2001 to 2005 as its Chief Financial Officer. For limited span, he also acted as Director of Stores - Abercrombie & Fitch, an American lifestyle retailer that focuses on casual wear.

He is strong business development professional with a B.S. focused in Accounting / International Business from University of Colorado.
