Report Content The Management Board of Shoper S.A. (the "Issuer", the "Company") herebyinforms that on April 10, 2025, it decided to recommend to the OrdinaryGeneral Meeting of the Company a dividend payment from the profit forthe financial year ended December 31, 2024.

The Management Board recommends allocating PLN 28,978,596.80(twenty-eight million nine hundred seventy-eight thousand five hundredninety-six and 80/100) for dividend payment to shareholders, resultingin a dividend of PLN 1.03 (one zloty and 03/100) per share.

Additionally, the Management Board recommends that the dividend recorddate be set for May 20, 2025, and the dividend payment date for May 22,2025.

The above proposal of the Management Board received positive evaluationfrom the Company's Supervisory Board on April 10, 2025.

The final decision regarding the allocation of the Issuer's profit for2024, including the dividend amount, dividend record date, and dividendpayment date, will be made by the Ordinary General Meeting of Shoper S.A.
