Report Content The Management Board of Shoper S.A. (the "Issuer"), based on apreliminary analysis of available financial results, estimates that:

In the 2024 the Shoper S.A. Group achieved the following financialresults:1. revenue: PLN 192.8 million, compared to PLN 152.6 millionin 2023 (up 26 percent).2. adjusted EBITDA: PLN 66.1 million, versusPLN 50.6 million in 2023 (up 31 percent)3. adjusted gross profit:PLN 51.8 million, up from PLN 36.0 million in 2023 (up 44 percent)4.adjusted net profit: PLN 42.3 million, up from PLN 31.1 million in 2023(up 36 percent)

The Issuer also informs that the value of orders placed on thee-commerce platform, excluding shops in the "private label" model (GMVStores), amounted to PLN 10.7 billion in the 2024, compared to PLN 8.5billion in the 2023 (up 26 percent). The total value of orders placed onthe e-commerce platform and in all other sales channels (marketplace,API, price comparison sites, etc.), excluding shops in the "privatelabel" model (GMV Omnichannel), amounted to PLN 14.5 billion in the2024, compared with PLN 9.5 billion in the 2023 (up 53 percent).

The Issuer points out that since the migration of home.pl customersserviced in the private label model until October 2023, the value oforders processed by these merchants' stores (GMV) is included in theShoper's GMV. The year-on-year growth rate of GMV of Stores excludingthe effects of migration was +16% in 2024, and for GMV of Omnichannel+44%.

In the fourth quarter of 2024, the Shoper S.A. Group achieved thefollowing financial results:1. revenue: PLN 55.1 million, comparedto PLN 43.6 million in the fourth quarter of 2023 (up 26 percent)2.adjusted EBITDA: PLN 19.9 million, up from PLN 15.1 million in thefourth quarter of 2023 (up 32 percent)3. adjusted gross profit: PLN18.3 million, compared to PLN 11.8 million in the fourth quarter of 2023(up 56 percent)4. adjusted net profit: PLN 15.1 million, compared toPLN 10.3 million in the fourth quarter of 2023 (up 46 percent)*

The Issuer also informs that the value of orders placed on thee-commerce platform, excluding shops in the "private label" model (GMVStores), amounted to PLN 3.0 billion in the fourth quarter of 2024,compared to PLN 2.6 billion in the fourth quarter of 2023 (up 15percent). The total value of orders placed on the e-commerce platformand in all other sales channels (marketplace, API, price comparisonsites, etc.), excluding shops in the "private label" model (GMVOmnichannel), amounted to PLN 4.3 billion in the fourth quarter of 2024,compared with PLN 3.0 billion in the fourth quarter of 2023 (up 45percent).

The Issuer points out that since the migration of home.pl customersserviced in the private label model until October 2023, the value oforders processed by these merchants' stores (GMV) is included in theShoper's GMV. The year-on-year growth rate of GMV of Stores excludingthe effects of migration was +12% in 2024, and for GMV of Omnichannel+45%.

The presented figures are preliminary and estimated. The report for the2024 is scheduled to be published on 2 April 2025.
