Report Content The Management Board of Shoper S.A. hereby informs that the SupervisoryBoard adopted a resolution on 08.12.2025, concerning the appointment oftwo new Management Board Members, effective from December 8, 2025.

The appointed persons are:- Mr. Patryk Pawlikowski - appointed as aMember of the Management Board- Mr. Paweł Lewkowicz - appointed as aMember of the Management Board

Below, the Company presents brief biographies and declarations of theappointed persons:

Mr. Patryk Pawlikowski is an expert in e-commerce, digital payments(FinTech), and digital product development (Product Management), withalmost 20 years of professional experience, including over 15 years inmanagerial and executive positions in the technology and trade sector.Joining Shoper S.A. as a Member of the Management Board, he will beresponsible for the vision and strategy of product development.Previously, between 2022 and 2025, he was associated with DocplannerGroup, where as Global Head of Payments he was responsible for theglobal payment strategy and scaling FinTech solutions within the Group.From 2019 to 2022, he served as VP eCommerce at SumUp GmbH, where he wasresponsible for key areas of e-commerce development within the globalorganization. For almost 10 years (2009 to 2019), he co-created thesuccess of Shoplo Sp. z o.o., serving as the Chief Executive Officer.Under his leadership, the company developed as an e-commerce platformand was acquired by SumUp GmbH (and subsequently acquired by ShoperS.A.), demonstrating a profound knowledge of the sales platform market.Mr. Patryk Pawlikowski holds a secondary technical education.Furthermore, he studied Applied Informatics at the Faculty of Physics atAdam Mickiewicz University in Poznań. Mr. Patryk Pawlikowski declaredthat he is not involved in other entities conducting competitiveactivity towards Shoper S.A., is not a partner in a competitive civil orpartnership company, is not a member of the body of a competitivecapital company towards Shoper S.A., nor is he involved in any othercompetitive legal entity as a member of its body. Furthermore, Mr.Patryk Pawlikowski declared that he possesses full legal capacity, hasnot been finally convicted of offenses specified in the CommercialCompanies Code, and has no prohibition from holding office in companybodies (Article 18 § 2 of the Commercial Companies Code). He declaredthat he is not listed in the Register of Insolvent Debtors, maintainedunder the KRS Act, nor in the National Register of Debtors. He alsodeclared that he does not hold any shares in Shoper S.A. or rightsthereto, and is not related to members of the Company's management orsupervisory bodies.

Mr. Paweł Lewkowicz is an expert in e-commerce, digital productdevelopment, and omnichannel strategy, with almost 15 years ofexperience in management in the technology and trade sector. He has beenassociated with Shoper S.A. since May 2025. Previously, between 2022 and2025, he was associated with MODIVO S.A., where as AI Development, App _Omnichannel Director and Head of Product he was responsible for creatingthe product vision. Experience in scaling businesses was also gained inGrupa Domodi (2014-2021) in positions such as VP Business Growth and VPEcommerce Products. Mr. Paweł Lewkowicz declared that he is not involvedin other entities conducting competitive activity towards the Companyand is not related to any competitive company. He possesses full legalcapacity, has not been convicted of offenses specified in the CommercialCompanies Code. He declared that he is not listed in the Register ofInsolvent Debtors nor in the National Register of Debtors. He is notrelated to members of the Company's management or supervisory bodies.
