Report Content The Management Board of Shoper S.A., with its registered office inKraków (the "Company"), announces that on March 12, 2025, the Companyreceived resignation statements from Ms. Anna Miśko, Mr. MarcinKuśmierz, Mr. Paweł Rybak and Mr. Piotr Biczysko from their positions asmembers of the Management Board of the Company. Mr. Marcin Kuśmierz hasalso resigned from his position as President of the Management Board.

All resignations have been submitted with effect as of March 31, 2025.

The individuals submitting their resignations did not provide reasonsfor their decisions.

In connection with the above, the Supervisory Board decided on March 12,2025, to appoint Mr. Jakub Dwernicki, who has so far served as VicePresident of the Management Board, to the position of President of theManagement Board, effective April 1, 2025. Additionally, Mr. RobertStasik has been appointed to the Management Board and will assume therole of Vice President of the Management Board, also effective April 1,2025.

Mr. Robert Stasik holds a higher education degree. In 2010, he graduatedfrom Poznań University of Economics, majoring in Management andMarketing, with a specialization in Corporate Finance and Accounting,earning a Master's degree. Furthermore, in 2011, he completedpostgraduate studies in Database Systems at WSB University in Poznań.Additionally, in 2014, Mr. Robert Stasik obtained the titles ofAssociate Chartered Management Accountant (ACMA) and Chartered GlobalManagement Accountant (CGMA), awarded by the Chartered Institute ofManagement Accountants (CIMA).

Mr. Robert Stasik currently serves as Vice President of the ManagementBoard of cyber_Folks S.A., which holds 49.9% of the shares in ShoperS.A. He also holds positions in the governing bodies of companiesbelonging to the cyber_Folks S.A. Group, where he serves as ChiefFinancial Officer. Apart from these roles, he does not participate inany entities conducting business competitive to Shoper S.A.

Mr. Robert Stasik has never been listed in the Register of InsolventDebtors, which was maintained under the Polish National Court RegisterAct of August 20, 1997, until its repeal on December 1, 2021. He is alsonot listed in the National Debtors Register, maintained under the PolishNational Debtors Register Act of December 6, 2018.

The Company expresses its gratitude to Ms. Anna Miśko, Mr. MarcinKuśmierz, Mr. Paweł Rybak, and Mr. Piotr Biczysko for their dedicationand contributions to the Company's development.
