Sub: Completion of purchase of entire equity share capital of Shriyam Realtors Private Limited, a - step down subsidiary of the Company, held by Shriyam Broking Intermediary Limited, a wholly owned subsidiary of the Company;

Ref: Our letter dated February 12, 2025.

Dear Sir/ Madam,

We refer our letter dated February 12, 2025, informing that the Board of Directors at its meeting held on February 12, 2025 approved to purchase entire equity share capital of Shriyam Realtors Private Limited, a step-down subsidiary of the Company, held by Shriyam Broking Intermediary Limited, a wholly owned subsidiary of the Company, for a purchase consideration of Rs. 1,97,40,000/- (value as per valuation done Rule 11UA of the Income Tax Act,1961) and make Shriyam Realtors Private Limited a direct wholly owned subsidiary of the Company.

We would like to clarify that in our previous letter, dated February 12, 2025, the purchase consideration was stated as approximately Rs. 1,50,00,000/-. However, the final purchase consideration for the entire equity share capital is Rs. 1,97,40,000/-.

In this regard, we wish to update you that the aforementioned acquisition has been completed today i.e., March 31, 2025 and Shriyam Realtors Private Limited has become a direct wholly owned subsidiary of the Company.

This submission is being made pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
