Dear Sir/Madam,

With reference to the captioned subject, please find enclosed a copy of Notice of Postal ballot/ e-voting ('Notice') dated 14th November, 2022 as Annexure-I being sent to the members today i.e., Tuesday, 29th November, 2022 for seeking consent / approval of its members by way of Postal Ballot (only by way of remote e-voting process) in respect of the Special Business set out in the Notice.

Pursuant to the provisions of Section 110 read with Section 108 and other applicable provisions, if any, of the Companies Act, 2013 and rules made thereunder read with General Circular Nos. 14/2020 dated 8th April 2020, 17/2020 dated 13th April 2020, 20/2020 dated 5th May, 2020 read with other relevant circulars issued in this regard from time to time and General Circular no. 3/2022 dated May 5, 2022 issued by the Ministry of Corporate Affairs, Government of India in the backdrop of Covid-19 pandemic (collectively referred to as "MCA Circulars") issued by Ministry of Corporate Affairs, Government of India and SEBI circular No. SEBI/HO/CFD/CMD2/CIR/P/202262 dated May 13, 2022 circular No. SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated January 15, 2021 and Circular No. SEBI/HO/CFD/CMD1/ CIR/P/2020/79 dated May 12, 2020 (Collectively Called as "SEBI Circulars"), the Notice is being sent only by email to all its members who have registered their email addresses with the Company or depository(ies) / depository participants and whose names are recorded in the Register of Members/ Beneficial owners of the Company as on the Cut-off date i.e. Friday, 25th November, 2022 (''Cut-off date''). The Notice of Postal Ballot including therein the explanatory statement, instructions for e-voting is also available on the website of the Company i.e. https://www.shardamotor.com/wp content/uploads/2022/11/Notice-reclassification-Designed-Version-Final.pdf

The members, whose email addresses are not registered, are requested to register the same by following the procedure provided in the Notes section of Notice of Postal Ballot. The advertisement published by the Company in this regard on Thursday, 24th November, 2022, copies of which were also submitted to stock exchanges on Friday, 25th November, 2022 and for the benefit of members and as a good corporate governance measure, is also enclosed as Annexure-II. The same Newspaper advertisement is also available on the website of the Company at https://www.shardamotor.com/wp content/uploads/2022/11/Stx\_SMIL\_Newspaper\_24.11.2022.pdf.

The Company has engaged the services of Central Depository Services (India) Limited (CDSL) for providing remote e-voting facility to all its members. Voting period shall commence from Wednesday, 30th November, 2022 at 9:00 A.M. (IST) and will end on Thursday, 29th December, 2022 at 5:00 P.M. (IST) after which the remote e-voting facility shall not be allowed. The voting rights of the members shall be in proportion to their share in the paid up equity share capital of the Company as on the Cut-off date.

Mr. Vineet K. Chaudhary, Managing Partner (CP No. 4548) or failing of him Mr. Mohit K Dixit, Partner (CP No. 17827) of M/s. VKC & Associates, Company Secretary in whole time practice has been appointed as scrutinizer for conducting the Postal Ballot (only by way of e-voting) in a fair and transparent manner.

The results of the Postal Ballot will be declared within the stipulated time i.e. on or before Monday, 2nd January, 2023 and shall also be displayed on the Notice Board of the Company at its registered office besides being hosted on the website of the Company i.e. www.shardamotor.com. NOTICE is hereby given that pursuant to the provisions of Sections 110 and 108 of the Companies Act, 2013 ("the Act"), including any statutory modification(s) or re-enactment(s) thereof for the time being in force and other applicable provisions, if any, of the Act and Rule 22 and Rule 20 of the Companies (Management and Administration) Rules, 2014 ("the Rules"), as amended from time to time, read with the General Circular Nos. 14/2020 dated 8th April 2020, 17/2020 dated 13th April 2020, 20/2020 dated 5th May, 2020 read with other relevant circulars issued from time to time and General Circular no. 2 and 3/2022 dated 5th May, 2022 issued by the Ministry of Corporate Affairs, Government of India in the backdrop of Covid-19 pandemic (collectively referred to as "MCA Circulars"), SEBI circular No. SEBI/HO/CFD/CMD2/CIR/P/202262 dated 13th May, 2022 circular No. SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated 15th January, 2021 and Circular No. SEBI/HO/CFD/CMD1/ CIR/P/2020/79 dated 12th May, 2020 (Collectively Called as "SEBI Circulars") Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), Secretarial Standard on General Meetings ("SS-2") issued by The Institute of Company Secretaries of India, as amended and pursuant to other applicable laws and regulations (including any statutory modification(s) or re- enactment(s) thereof, for the time being in force), resolution as set out as Special Business in this Postal Ballot Notice, is proposed to be passed as Ordinary Resolution by members of Sharda Motor Industries Limited ("SMIL") by means of Postal Ballot through voting by electronic means only ("remote e-voting").

In compliance with abovementioned Circulars, this Postal Ballot Notice is being sent through electronic mode to only those members whose e-mail addresses are registered with the Company/ Registrar & Share Transfer Agent / Depository / Depository Participants and whose names appear in the register of members / list of beneficial owners of the Company provided by the Depositories Friday, 25 November, 2022. If member's e-mail address is not registered with the Company/ Depositories, then please follow the process provided in the Notes to receive this Postal Ballot Notice, login ID and password for remote e-voting.

An Explanatory Statement pursuant to Section 102 and other applicable provisions of the act, pertaining to the resolution setting out the material facts and reasons thereof, is appended to this Postal Ballot Notice. Pursuant to Rule 22(5) of the Rules, the Board of Directors of the Company have appointed CS Vineet Kumar Chaudhary, Managing Partner (CP No. 4548) or failing him CS Mohit Dixit, Partner (CP No. 17827), VKC & Associates, Company Secretaries, as the Scrutinizer for conducting the Postal Ballot through remote e-voting process in a fair and transparent manner.

The remote e-voting period commences on Wednesday, 30th November, 2022 at 9:00 A.M. (IST) and will end on Thursday, 29th December, 2022 at 5:00 P.M. (IST), thereafter, the remote e-voting will be blocked and voting shall not be allowed beyond said time. Based on the Scrutinizer's Report, the Results of remote e-voting will be declared within prescribed time.

The declared Result, along with the Scrutinizer's Report, will be available forthwith on the Company's website at www.shardamotor.com under the 'Investors' Section' and will also be forwarded to the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited, where the Company's shares are listed and on the website of CDSL, the e-voting service provider for this Postal Ballot event.

1. Re-classification from Promoters/Members of Promoter Group category to public Category of the Company.

To consider and approve reclassification of Promoters of the Company and in this regard to consider and fit to pass, with or without modification(s), the following resolution as an Ordinary Resolution.

In compliance with the provisions of Section 108 and Section 110 of the Act read with Rules 20 and 22 of the Rules, Regulation 44 of the Listing Regulations, SS-2 and the MCA Circulars, the Company is pleased to provide remote e-voting facility through Central Depository Services (India) Limited ("CDSL") to enable its Members to cast their votes on all resolution set forth in this notice electronically. The detailed procedure with respect to remote e-voting is mentioned in note no. 12 of this Notice.
1. Voting rights are reckoned on the basis of the shares registered in the name of members / beneficial owners as on "cut-off date" i.e. Friday, 25th November, 2022.
1. The remote e-voting period commences at 9:00 A.M. (IST) on Wednesday, 30th November, 2022 and will end on Thursday, 29th December, 2022 at 5:00 P.M. (IST), thereafter, the remote e-voting will be blocked by CDSL and voting shall not be allowed beyond said time. During this period, Members of the Company holding shares either in physical form or in dematerialized form, as on the Cut-off date, i.e. Friday, 25th November, 2022, may cast their vote electronically. The Scrutinizer shall submit his report to the Chairperson / Co-chairperson of the Company post the completion of scrutiny, and the voting results shall be announced by the Chairperson/Co-chairperson or any other person duly authorized by the Board in this regard, within the prescribed time and shall also be displayed on the website of the Company (www.shardamotor.com), besides being communicated to the National Stock Exchange of India Limited and BSE Limited ("Stock Exchanges").
1. The Resolution, if passed by the requisite majority through Postal Ballot, will be deemed to have been passed on the last date specified for e-voting Thursday, 29th December, 2022.

11. Procedure for registration / updating email addresses:

A. Members holding shares in physical mode, who have not registered/updated their email addresses with the Company, are requested to send the scanned copy of the following documents by email to the Company / Registrar and Share Transfer Agent, Alankit Assignments Limited ("RTA") at [email protected] / [email protected] or [email protected]:
- i. a signed request letter mentioning their name, folio no. and address;
- ii. self-attested copy of the PAN Card and
- iii. self-attested copy of Address proof (e.g. Aadhar Card, Driving License, Election Identity Card, Passport).
B. Members holding shares in dematerialized mode, who have not registered/updated their email addresses with the Depository Participant(s), are requested to register/update their email addresses with their Depository Participant(s).

12. VOTING PROCESS AND INSTRUCTION REGARDING REMOTE E-VOTING:

In terms of SEBI circular no. SEBI/HO/CFD/CMD/CIR/P/2021/242 dated 9th December, 2021 and in order to increase the efficiency of the voting process, all the Demat account holders have been enabled for e-voting by way of a single login credential, through their Demat accounts/ websites of Depositories/ Depository Participants. Demat account holders would be able to cast their vote without having to register again with the ESPs. thereby, not only facilitating seamless authentication but also enhancing the ease and convenience of participating in the e-voting process.

h. Shareholders holding shares in physical form will then directly reach the Company selection screen. However, shareholders holding shares in demat form will now reach 'Password Creation' menu wherein they are required to mandatorily enter their login password in the new password field. Kindly note that this password is to be also used by the demat holders for voting for resolution of any other company on which they are eligible to vote, provided that company opts for e-voting through CDSL platform. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential.

k. On the voting page, you will see "RESOLUTION DESCRIPTION" and against the same the option "YES/NO" for voting. Select the option YES or NO as desired. The option YES implies that you assent to the Resolution and option NO implies that you dissent to the Resolution.

m. After selecting the resolution, you have decided to vote on, click on "SUBMIT". A confirmation box will be displayed. If you wish to confirm your vote, click on "OK", else to change your vote, click on "CANCEL" and accordingly modify your vote.
n. Once you "CONFIRM" your vote on the resolution, you will not be allowed to modify your vote.

b. A scanned copy of the Registration Form bearing the stamp and sign of the entity should be emailed to [email protected].
c. After receiving the login details a Compliance User should be created using the admin login and password. The Compliance User would be able to link the account(s) for which they wish to vote on.
d. The list of accounts linked in the login should be mailed to [email protected] and on approval of the accounts they would be able to cast their vote.
e. A scanned copy of the Board Resolution and Power of Attorney (POA) which they have issued in favour of the Custodian, if any, should be uploaded in PDF format in the system for the scrutinizer to verify the same.
f. Alternatively Non Individual shareholders are required to send the relevant Board Resolution/ Authority letter etc. together with attested specimen signature of the duly authorized signatory who are authorized to vote, to the Scrutinizer and to the Company at the email address viz; [email protected] (designated email address by company), if they have voted from individual tab & not uploaded same in the CDSL evoting system for the scrutinizer to verify the same.

D. PROCESS FOR THOSE SHAREHOLDERS WHOSE EMAIL/MOBILE NO. ARE NOT REGISTERED WITH THE COMPANY/DEPOSITORIES.

EXPLANATORY STATEMENT IN RESPECT OF THE SPECIAL BUSINESS PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013

The Company had received the request letters from the following persons falling under the category of promoters/ promoter Group of the Company requesting to be reclassified from the Category of "Promoters/ Promoters Group" to "Public Category (hereinafter called "outgoing Promoters").

Pursuant to the memorandum of family settlement and as declared by the respective outgoing promoters seeking reclassification, they are neither involved in the management of the Company nor holding any stake in the Company. Further, in compliance of the provisions of Regulation 31A(3)(b) of the Listing Regulations, the outgoing Promoters have confirmed that

i. They do not hold more than 10% of the total voting rights of the Company. Their present shareholding in the Company is nil;
ii. they do not/shall not exercise control over the affairs of the company, directly or indirectly;
iii. They are not being/shall not be represented on the board of directors (including not having a nominee director) of the Company;
iv. They do/shall not act as a Key Managerial person in the Company;
v. They do not have any special rights with respect to the Company through formal or informal arrangements including through any shareholder agreements;
vi. They are not 'wilful defaulter(s)' as per the Reserve Bank of India Guidelines;
vii. They are not fugitive economic offender;
viii. There is no pending regulatory action against them.

Furthermore they have also confirmed that they shall continue to comply with the conditions mentioned at subclauses (i), (ii) and (iii) of clause (b) of Regulation 31A(3) of Listing Regulations at all times from the date of reclassification, and that they shall continue to comply with the conditions mentioned at sub-clauses (iv) and (v) of clause (b) of Regulation 31A(3) of Listing Regulations for a period of 3 years from the date of reclassification, failing which, they shall be reclassified as promoter / persons belonging to the promoter group of the company.

The Shareholders are also informed, that the Company: -

i. is compliant with the requirement of minimum public shareholding as required under regulation 38 of the Listing Regulations, 2015.
ii. equity shares were not suspended by the stock exchanges from trading.
iii. does not have any outstanding dues to the Board, the Stock Exchanges or to the Depositories.

Based on the request letter and confirmation received from outgoing Promoters and in accordance with Regulation 31A of Listing Regulations, your Board approved the said reclassification in their Meeting held on 14 November, 2022 and recommend the passing of the Resolution as mentioned above in the accompanying Notice for the approval of the Members of the Company as "ORDINARY RESOLUTION".

Further in terms of sub regulation 3(a)(iii) of regulation 31A of Listing Regulations, the person related to outgoing Promoters shall not vote on the resolutions mentioned in this Postal Ballot Notice.

None of the Directors /Key Managerial Personnel of the Company / their relatives are in any way, concerned or interested, financially or otherwise, in the Ordinary Resolution, except to the extent of shareholding held by them in the Company, if any.

नई दिल्ली। भारत में पिछले 24 घंटे में कोरोना वायरस संक्रमण के 360 नए मामले सामने आने के बाद देश में अब तक संक्रमित हो चके लोगों को संख्या बढकर 4,46,70,075 पर पहुंच गई। वहीं, उपचाराधीन मरीजों की संख्या घटकर $6.046$ रह गई है।

जम्मू, (भाषा)। जम्मू कश्मीर पुलिस के विशेष अभियान समह (एसओजी) ने बधवार को यहां सांबा जिले में अंतरराष्ट्रीय सीमा (आईबी) से लगे कई गांवों में तलाशी अभियान चलाया। एक अधिकारी ने यह जानकारी दी। एक पलिस अधिकारी ने बताया कि एसओजी को केंद्रीय रिजर्व पलिस बल (सीआरपीएफ) द्वारा सहायता प्रदान की गई और सीमा पार से हाल में घुसपैठ के प्रयासों के बाद सीमा क्षेत्र में लगभग तीन घंटे लंबा तलाशी अभियान चलाया गया। उन्होंने बताया कि तलाशी अभियान एस एम पुरा से तड़के शुरू हुआ और रामगढ़ सेक्टर के सपवाल, चमलियाल और नारायणपुर इलाकों में भी यह कार्वाई की गई। अधिकारी ने कहा कि किसी भी भूमिगत सूरंग और ड्रोन द्वारा गिरायी गयी संदिग्ध सामग्री का पता लगाने पर ध्यान केंद्रित किया गया. लेकिन कछ भी संदिग्ध नहीं मिला। सीमा सुरक्षा बल (बीएसएफ) ने मंगलवार को जम्मू के अरनिया सेक्टर में एक पाकिस्तानी घुसपैठिये को मार गिराया था, जबकि एक अन्य को गिरफ्तार कर लिया गया था।
