1. Adoption of Financial Statements
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION :
st RESOLVED that the Audited Financial Statements of the Company for the financial year ended 31 March, 2019, the Report of the Board of Director's and the Auditor's Report thereon, be and are hereby received and adopted.
2. Declaration of Dividend
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION :
st RESOLVED that out of the profits for the financial year ended 31 March, 2019, a final dividend at the rate of 1/- (Rupee One Only) per share on the equity share capital of the Company, as recommended by the Board of Directors, be and the same is hereby declared for the financial year, 2018-19 and that the said rd dividend be paid to the Members whose names appear on the Register of Members as on 23 July, 2019 or their mandatees, in case the shares are held in physical form, thus making a total dividend of 6/- per equity share of 1/- each for the financial year, including the one-time special interim dividend of 5/ per share already paid.
RESOLVED FURTHER that in respect of shares held in electronic form, the dividend be paid to the beneficial holders of the dematerialised shares as per details furnished by the depositories for this purpose.
3. Re-appointment of Mr. L Ramkumar as Director
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION :
RESOLVED that pursuant to Section 152 and other applicable provisions, if any, of the Companies Act, 2013, the Rules thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force), Mr. L Ramkumar (holding DIN 00090089), Director, who retires by rotation at the th 46 Annual General Meeting, be and is hereby re-appointed as Director of the Company.

4. To approve the ratification of a ppointment and terms of remuneration for Statutory Auditors
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION:
RESOLVED THAT pursuant to the provisions of section 139 and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") and the Rules made thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force), the appointment of M/s. Deloitte Haskins & Sells, Chartered Accountants (Firm Registration No.008072S) as the statutory auditor of the Company from the th th conclusion of 46 Annual General Meeting (2019) till the conclusion of 50 Annual General Meeting (2023) at a remuneration of `10 Lakhs for financial year 2019-20 plus applicable taxes and reimbursement of out of pocket expenses incurred by them in connection with the said audit be and is hereby ratified.
RESOLVED FURTHER THAT the Board of Directors of the Company (including any committee thereof) be and is hereby authorised to fix the remuneration payable to M/s. Deloitte Haskins & Sells, Chartered Accountants (Firm Registration No.008072S) statutory auditors of the Company, from time to time including the actual travelling and out of pocket expenses incurred in connection with the audit, in th addition to taxes as applicable, during the appointed period till the conclusion of 50 Annual General Meeting (2023).

5. Appointment of Mr. Vellayan Subbiah as a Director
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION :
RESOLVED that pursuant to the provisions of Section 152,161 and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") and the Rules made thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force) and pursuant to the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the Articles of Association of the Company Mr. Vellayan Subbiah (holding DIN 01138759), an additional Director, holding office up to the date if this Annual General Meeting be and is hereby appointed as a Director of the Company liable to retire by rotation.
6. Appointment of Mr. Krishna Samaraj as an Independent Director
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION :
RESOLVED that pursuant to the provisions of Sections 149 read with Schedule IV, 150, 152, 161 and other applicable provisions of the Companies Act, 2013, the Rules thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force) and in terms of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time and the Articles of Association of the Company, Mr. Krishna Samaraj (holding DIN 00048547), Additional Director, who holds office up to the date of this Annual General Meeting, be and is hereby appointed as Independent Director of the Company, not liable to retire by rotation, for a term of th st five consecutive years i.e., from the date of the 46 Annual General Meeting (2019) till the date of the 51 Annual General Meeting (2024) of the Company [both dates inclusive].

7. Re-appointment of Mr. J Balamurugan as an Independent Director
To consider and if deemed fit, to pass with or without modification(s), the following resolution as a SPECIAL RESOLUTION :
RESOLVED that pursuant to Section 149 and read with Section 150, 152 and schedule IV and other applicable provisions of the Companies Act, 2013, the Rules thereunder (including any statutory modification(s) of re-enactment(s) thereof for the time being in force) and in terms of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time and the Articles of Association of the Company, Mr. J Balamurugan (holding DIN 00023309), Director, who holds office up to the date of this Annual General Meeting, be and is hereby reappointed as Independent Director of the Company, not liable to retire by rotation, for a term of five years th st i.e. from the date of the 46 Annual General Meeting (2019) till the date of the 51 Annual General Meeting (2024) of the Company [both dates inclusive].
8. Ratification of Remuneration to Cost Auditor
To consider and if deemed fit, to pass, with or without modification(s), the following resolution as an ORDINARY RESOLUTION:
RESOLVED that pursuant to the provisions of Section 148(3) and other applicable provisions, if any, of the Companies Act, 2013 and the Rules thereunder (including any statutory modification(s) or re-enactment(s) thereof, for the time being in force), the remuneration payable during the financial year 2019-20 to Mr. B Venkateswar, Cost Accountant having Membership No. 27622 and holding Registration No.100753 appointed by the Board of Directors of the Company to conduct the audit of the cost records of the Company for the financial year 2019-20, amounting to Rs.60,000/- (Rupees Sixty Thousand Only) plus applicable taxes, as may be applicable, be and is hereby ratified and confirmed.
RESOLVED FURTHER that the Board of Directors of the Company be and is hereby authorised to do all acts and take all such steps as may be necessary, proper or expedient to give effect to this Resolution.

- As per the requirements of Section 124 of the Companies Act, 2013, the Company has transferred unclaimed dividends up to the year 2010-11 and shares in respect of dividend has not been paid or claimed for seven consecutive years to the Investor Education and Protection Fund constituted by the Central Government.

The Board of Directors of the Company on the recommendation of Audit Committee, approved the appointment and remuneration of Mr. B Venkateswar, Cost Accountant, to conduct the audit of cost records of the Company for the financial year 2019-20.
In terms of the provisions of Section 148(3) of the Companies Act, 2013 read with Rules 14 (a) (ii) of the Companies (Audit and Auditors) Rules, 2014, the remuneration payable to the Cost Auditor is to be ratified by the Members of

the Company. Accordingly, the Members are requested to ratify the remuneration payable to the Cost Auditor during the financial year 2019-20 as set out in the resolution for the aforesaid service to be rendered by him.

- a) Click on "Forgot User Details / Password?"(If you are holding shares in your demat account with NSDL or CDSL) option available on www.evoting.nsdl.com.
- b) Physical User Reset Password?" (If you are holding shares in physical mode) option available on www.evoting.nsdl.com.
- c) If you are still unable to get the password by aforesaid two options, you can send a request at [email protected] mentioning your demat account number / folio number, your PAN, your name and your registered address.

- After entering your password, tick on Agree to "Terms and Conditions" by selecting on the check box.

- Now, you will have to click on "Login" button.

- After you click on the "Login" button, Home page of e-Voting will open.

How to cast your vote electronically on NSDL e-Voting system?

- After successful login at Step 1, you will be able to see the Home page of e-Voting. Click on e-Voting. Then, click on Active Voting Cycles.

- After click on Active Voting Cycles, you will be able to see all the companies "EVEN" in which you are holding shares and whose voting cycle is in active status.

- Select "EVEN" of company for which you wish to cast your vote.

- Now you are ready for e-Voting as the Voting page opens.

- Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of shares for which you wish to cast your vote and click on "Submit" and also "Confirm" when prompted.

- Upon confirmation, the message "Vote cast successfully" will be displayed.

- You can also take the printout of the votes cast by you by clicking on the print option on the confirmation page.

- Once you confirm your vote on the resolution, you will not be allowed to modify your vote.

- Institutional shareholders (i.e., other than individuals, HUF, NRI etc.) are required to send scanned copy (PDF/JPG Format) of the relevant Board Resolution/ Authority letter etc. with attested specimen signature of the duly authorized signatory(ies) who are authorized to vote, to the Scrutinizer by e-mail to [email protected] with a copy marked to [email protected].

- It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential. Login to the e-voting website will be disabled upon five unsuccessful attempts to key in the correct password. In such an event, you will need to go through the "Forgot User Details / Password?" or "Physical User Reset Password?" option available on www.evoting.nsdl.com to reset the password.

- th nd 4. The e-voting period commences on Saturday, 20 July, 2019 (10:00 a.m. IST) and ends on Monday, 22 July, 2019 (5:00 p.m. IST). During this period, shareholders of the Company holding shares either in physical form or in th dematerialized form, as on the cut-off date of 16 July, 2019, may cast their vote electronically. The e-voting module shall also be disabled by NSDL for voting thereafter. Once the vote on a resolution is cast by the shareholder, the shareholder shall not be allowed to change it subsequently.

- Mr. P Eswaramoorthy, Proprietor, P Eswaramoorthy and Company, Practicing Company Secretaries (Membership No. FCS 6510), has been appointed as the Scrutinizer to scrutinize the e-voting process in a fair and transparent manner.

- The facility for voting through ballot paper shall be made available at the AGM and the members attending the meeting who have not cast their vote by remote e-voting shall be able to exercise their right at the meeting through ballot paper.

- The members who have cast their vote by remote e-voting prior to the AGM may also attend the AGM but shall not be entitled to cast their vote again.

- The voting rights of shareholders shall be in proportion to their shares of the paid-up equity share capital of the th Company as on the cut-off date viz., 16 July, 2019. However, a person who is not a Member as on cut-off date should treat this Notice for information purpose only.

- The Scrutinizer shall after the conclusion of voting at the general meeting, will first count the votes cast at the meeting and thereafter unblock the votes cast through remote e-voting in the presence of at least two witnesses not in the employment of the Company and shall make, not later than Forty Eight Hours of the conclusion of the AGM, a consolidated scrutinizer's report of the total votes cast in favour or against, if any, to the Chairman or a person authorized by him in writing, who shall countersign the same and declare the result of the voting forthwith.

- The Results declared alongwith the report of the Scrutinizer shall be placed on the website of the Company www.shanthigears.com and the website of NSDL immediately after declaration of results by Chairman or a person authorized by him in writing. The results shall also be immediately forwarded to the Stock Exchanges.
All documents referred to in the accompanying Notice and the Statement pursuant to Section 102(1) of the Companies Act, 2013, will be available for inspection at the Registered Office of the Company during business hours on all working th days up to the date of declaration of the result of the 46 Annual General Meeting of the Company.
