CHANGE IN DIRECTORATE

The board of directors (the “ Board ”) of CITIC Resources Holdings Limited (the “ Company ”) announces the following changes in the directorate of the Company effective 1 April 2008:

  1. the resignation of Mr. Tang Kui (“ Mr. Tang ”) as a director of the Company and a member of investment committee of the Board due to other business commitments;

  2. the appointment of Mr. Wong Kim Yin (“ Mr. Wong ”) as a non-executive director of the Company and a member of investment committee of the Board; and

  3. the appointment of Ms. Yap Chwee Mein (“ Ms. Yap ”) as alternate to Mr. Wong.

The Board is not aware of any matters relating to the resignation of Mr. Tang that need to be brought to the attention of shareholders of the Company (“ Shareholders ”). Mr. Tang has confirmed that he has no disagreement with the Board and that there are no other matters that need to be brought to the attention of Shareholders in connection with his resignation.

The Board would like to thank Mr. Tang for his efforts and invaluable contribution to the Company, and to express its warm welcome to Mr. Wong on his joining the Board.

The biographies of Mr. Wong and Ms. Yap are as follows.

Mr. Wong, aged 37, holds an Executive Master’s Degree in Business Administration from the University of Chicago Graduate School of Business. He is a managing director of Temasek Holdings (Private) Limited (“ Temasek Holdings ”) responsible for investments in the energy industry. Prior to joining Temasek Holdings in 2004, he worked for The AES Corporation, a power company listed on the New York Stock Exchange, and was responsible for merger and acquisition and greenfield project development in Asia Pacific. Mr. Wong has over 10 years’ experience in investment management.

Ms. Yap, aged 37, holds a Master’s Degree in Business Administration from the University of Michigan and is a Chartered Financial Analyst. She is a managing director of Temasek Holdings responsible for investments in China and in the real estate cluster and a director of Temasek Holdings (HK) Limited. Prior to joining Temasek Holdings in 2004, she worked for investment banking division of JPMorgan Singapore, covering clients in the Asia. Prior to that, she worked for JPMorgan’s New York office, in the capital markets team and the mergers and acquisition group. Ms. Yap has over 8 years’ experience in investment management.

There is no service contract between the Company and Mr. Wong or Ms. Yap respectively. Neither Mr. Wong nor Ms. Yap has a fixed term of service with the Company and Mr. Wong’s appointment is subject to reelection at the next general meeting of the Company and to retirement by rotation and re-election at annual general meetings of the Company in accordance with the bye-laws of the Company. Ms. Yap will cease to be an alternate to Mr. Wong if Mr. Wong is not re-elected. Mr. Wong does not receive any salary but will receive an annual director’s fee which is currently HK$207,000 per annum. The fee is in line with that payable by the Company to other non-executive directors of the Company. As an alternate to Mr. Wong, Ms. Yap will not receive any remuneration.

As at the date of this announcement, neither Mr. Wong nor Ms. Yap has any interests in the share capital of the Company within the meaning of Part XV of the Securities and Futures Ordinance.

Save as disclosed above, neither Mr. Wong nor Ms. Yap holds, nor have they held, any other positions within the Company and its subsidiaries and is not connected with any directors, substantial or controlling Shareholders or senior management of the Company.

Save as disclosed above, neither Mr. Wong nor Ms. Yap has held any directorship in any other listed public company in the last three years.

Save as disclosed above, there is no information relating to Mr. Wong nor Ms. Yap that is required to be disclosed pursuant to Rules 13.51(2)(h) to (w) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
