We wish to inform you that the Board of Directors of Shalimar Paints Limited (the "Company") at their meeting held today, i.e. May 11 2021, inter alia, considered and approved the following `matter:

1. Based on the recommendation of Nomination and Remuneration Committee and subject to the approval of the shareholders of the Company at the ensuing Annual General Meeting, appointment of Dr. Rajeev Uberoi, as an Additional Director(Non-Executive Independent) of the Company for a term of 3 (three) consecutive years w.e.f May 11, 2021.

Dr. Rajeev Uberoi is not debarred from holding the office of Director by virtue of any order of Securities and Exchange Board of India or any other such authority.

Detailed disclosure(s) as required under SEBI Circular dated SEBI Circular No. CIR/CFD/CMD/4/2015 9th September, 2015 with regard aforesaid matter is separately enclosed as Annexure A.

The meeting commenced today at 12:00 Noon and concluded at 1:00 p.m.

In hisprevious experiences, he has worked with several domesticand multinational banks such as Standard Chartered Bank,Union Bank of India, State Bank of India, Reserve Bank ofIndiaasAsst.GeneralManager,Dept.ofBankingSupervision, Citibank as Vice President & Regulatory Head;ANZGrindlaysBankasHead-RiskManagement&Compliance – India. Dr. Uberoi is also a profound writer andhas a lot of publications to his credit. He is also a member ofvarious Committees and has been active on the Speakercircuit. He is a recipient of many accolades and awards andhis contribution to the legal fraternity has been recognizedin the Industry.Dr. Uberoiis a lawyer and a Canadian CommonwealthScholar with a Masters from McMaster University and aPh.D. in Economics. He also possesses a Post GraduateDiploma in Business Administration from the ManagementDevelopment Institute (MDI). He is also on the Board ofMPCON Limited, IFCI Infrastructure Development Limitedand NICDC Haryana Global City Project Limited. He had beenon the Board of other reputed organizations like JindalStainless Limited and Management Development Institute(MDI), Gurugram as well.
