Statement of the Board of Management and the Supervisory Board of SGL Carbon SE on the German Corporate Governance Code pursuant to Sec. 161 German Stock Corporation Act (Declaration of Compliance 2019)

The Board of Management and the Supervisory Board of SGL Carbon SE declare:

SGL Carbon SE has been in full compliance with the recommendations of the "Government Commission on the German Corporate Governance Code" ("Regierungskommission Deutscher Corporate Governance Kodex") in the version dated February 7, 2017 (published on April 24, 2017, corrigendum to this publication on May 19, 2017) as published by the Federal Ministry of Justice and Consumer Protection in the official notice section of the German Federal Gazette since the execution of its last Declaration of Compliance in September 2019 until October 15, 2019 except for the following deviation:

• Clause 4.2.1 sentence 1: On August 14, 2019, the Chairman of the Management Board of the Company announced his imminent resignation from the management board with effect of August 31, 2019. Since the departure of the Chairman of the Management Board and until the appointment of Dr. Bühler as additional member of the Management Board and the appointment of Dr. Majerus as Spokesperson of the Management Board, each with effect as of October 15, 2019, the Company did not meet the recommendation under Clause 4.2.1 sentence 1 German Corporate Governance Code, according to which the Management Board of a listed company shall consist of several members and shall have a chair or Spokesperson.

Since October 15, 2019 SGL Carbon SE has and going forward will be in full compliance of the recommendations of the German Corporate Governance Code.

The Corporate Governance Principles of SGL Carbon SE furthermore satisfy a majority of the non-obligatory suggestions of the German Corporate Governance Code.
