RESPONSE TO MEDIA COMMENT ON BID

National Hire Group Limited (ASX:NHR) refers to recent media comment concerning the intentions of Elph Pty Ltd ( Elph ), a company controlled by Mr Dale Elphinstone and holding 21.9% of National Hire shares, in relation to the takeover offer from Seven (National) Pty Limited ( Seven ).

National Hire understands that Seven has now reached a level of acceptances such that if Elph were to accept the offer, Seven would reach the compulsory acquisition threshold, with the result that Elph would receive $3.75 per share. National Hire has received the following clarification from Elph:

"Elph has indicated that it would not accept Seven's offer of $3.35 per share, which is payable in circumstances where Seven does not receive enough acceptances to meet the compulsory acquisition threshold. Elph has made no decision as to whether it will accept the offer in the current circumstances where it would receive $3.75 per share and it remains open to Elph to accept the offer in these circumstances should it wish to do so."
