Seven Group Holdings Limited (“Issuer”) A$250,000,000 4.625 per cent Exchangeable Notes due 2027 (“Notes”) (ISIN: XS2531934847)

In accordance with the terms and conditions of the Notes (“Conditions”), the Issuer hereby gives notice to Noteholders that, as a result of the fully franked Dividend of A$0.26 paid by Boral Limited (“Boral”) on 26 April 2024, the Exchange Price of the Notes has been adjusted from A$3.77 to A$3.608 under Condition 7(b)(iii) of the Conditions, effective 17 April 2024.

An adjustment to the Exchange Price is not expected to be required for the on-market share buy-back announced by Boral on 12 April 2024. In accordance with ASX Listing Rule 7.33, a company may only buy back shares under an on-market buy-back at a price which is not more than five per cent above the VWAP over the five trading days prior to the purchase. Therefore, no portion of the buy-back is expected to be treated as a dividend for the purposes of section 7(b)(iii) of the Conditions.
